Common use of Information Statement; Listing Clause in Contracts

Information Statement; Listing. Xxxxxx Oil shall mail the Information Statement to the holders of Xxxxxx Oil Common Stock as of the Record Date. Xxxxxx Oil and Xxxxxx USA shall take all such actions as may be necessary or appropriate under the securities or blue sky laws of states or other political subdivisions of the United States and shall use reasonable efforts to comply with all applicable foreign securities laws in connection with the transactions contemplated by this Agreement and the Ancillary Agreements. Xxxxxx USA shall prepare, file and pursue an application to permit listing of the Xxxxxx USA Common Stock on the NYSE.
