Information Technology Services. On the terms and conditions set forth herein, Contractor hereby engages Supplier to perform information technology services on a time and materials basis and/or fixed price project basis for the Project in which the Contractor is engaged with the Customer, during the term hereof, and Supplier hereby accepts such engagement. Supplier agrees to use its best efforts, at a level consistent with entities having a similar level of experience and expertise in the IT industry, in the performance of the services called for hereunder. Upon selection by Customer, in its sole discretion, of any one or more Supplier Employees, Contractor shall provide required information for each requirement in accordance with the procedures set forth in Exhibit B.
(i) the name(s) of the Supplier Employee(s) needed by Contractor (each, an “Assigned Employee”);
(ii) the name and location of the Customer for which the Assigned Employee shall work;
(iii) the description of skills required and preferable.
(iv) the tasks to be performed by each Assigned Employee;
(v) the start and end date for which Contractor will utilize each Assigned Employee; and
(vi) the hourly fee paid to Supplier by Contractor, which fee shall be in accordance with the Rate Schedule in Exhibit D.
(vii) description of the scope of services to be provided;
(viii) description of the team performing the work;
(ix) description of the Solution which meets the requirements set forth by the Customer;
(x) description of each deliverable and deliverable acceptance criteria for each fixed price deliverable; delivery schedule and the fixed price deliverable payment amounts.
Information Technology Services. Flextronics shall be responsible for providing the information technology services as set out in Exhibit 26 of the MCMSA.
Information Technology Services. On the terms and conditions set forth herein, Supplier hereby engages Subcontractor to perform information technology Staff Augmentation or Statement of Work services for the Project in which the Supplier is engaged with the Customer, during the term hereof, and Subcontractor hereby accepts such engagement. Subcontractor agrees to use its best efforts, at a level consistent with entities having a similar level of experience and expertise in the IT industry, in the performance of the services called for hereunder. Upon selection by Customer, in its sole discretion, of any of Subcontractor’s services, Supplier shall provide required information for each engagement in accordance with the procedures set forth in Exhibit B – Contract Requisitioning Process. Staff Augmentation - Information will include at a minimum the following:
(i) the name(s) of the Subcontractor Resource(s) needed by Supplier (each, an “Assigned Resource”);
(ii) the name and location of the Customer for which the Assigned Resource shall work;
(iii) the description of skills required and preferable;
(iv) the tasks to be performed by each Assigned Resource;
(v) the start and end date for which Supplier will utilize each Assigned Resource; and
(vi) the hourly fee paid to Subcontractor by Supplier, which fee shall be in accordance with the Rate Schedule in Exhibit D, or as otherwise agreed to. Statement of Work – Information will include the following:
(i) description of the scope of the services to be provided;
(ii) description of the team performing the Work;
(iii) description of the Solution which meets the requirements set forth by the Authorized User;
(iv) description of deliverables and deliverable acceptance criteria; and
(v) delivery schedule and the fixed price deliverable payments.
1.1. If a Subcontractor Resource begins staff augmentation work at Customer, and the Customer determines within the first two (2) weeks (ten (10) business days) that the Subcontractor Resource does not have the skills or capabilities necessary to complete the job as requested in the original requirement, or the Subcontractor Resource resigns from the requirement within the first two (2) weeks (ten (10) business days), the Customer may request that the resource be replaced immediately, and Supplier shall not pay for the work conducted by the unacceptable Subcontractor Resource.
Information Technology Services. The DMRC Group shall provide each of the information technology services specified in Schedule 1.2.2 (the “DMRC IT Services”) to the Digimarc Group, in accordance with the terms and conditions for such DMRC IT Services, and at the applicable rates, fees and charges associated with such DMRC IT Services, as set forth on Schedule 1.2.2.
Information Technology Services. The Digimarc Group shall provide each of the information technology services specified in Schedule 1.3.2 (the “Digimarc IT Services”) to the DMRC Group, in accordance with the terms and conditions for such Digimarc IT Services, and at the applicable rates, fees and charges associated with such Digimarc IT Services, as set forth on Schedule 1.3.2.
Information Technology Services. OAS’s Information Technology Department shall, as the parties may from time to time agree, assist Oasis Holding in establishing, maintaining and developing information technology and telecommunications technology, including software systems, hardware and services, that Oasis Holding may utilize for its operations.
Information Technology Services. Provision and maintenance of financial, billing, asset management, trading and other related operations systems, telecommunications equipment and software, disaster recovery services, periodic backups, website administration, Internet access, network operation and security, technological and systems support for client-based information technologies, customer support and internal controls systems, including support for compliance with standards governing internal control over financial reporting.
Information Technology Services. It is agreed between the parties ‐ that shifts other than regular day shift may be instituted for Information Technology Services. Shift differential shall be paid for those hours which attract a premium in accordance with Article 4.7.
Information Technology Services. Congoleum will provide ABI certain specified information technology support and oversight services set forth on Exhibit C for a monthly fee set forth on Exhibit C, which monthly fee is intended to approximate Congoleum’s internal cost for providing such services. The scope of services and cost set forth on Exhibit C shall be consistent with past practices unless changed by mutual agreement. Any outside costs incurred by Congoleum for hardware and consulting in providing such services to ABI will not be included in the monthly fee and will be billed separately, at Congoleum’s internal cost, to ABI.
Information Technology Services. Computer and Telephone Communications Operations – Information Services Department (ISD) shall provide the Commission with information technology services that are generally available to county departments including EMACS payroll warrant services and Virtual Private Network (VPN). ISD will make other offered services, such as telephone communications, available on an as needed basis. ISD will be reimbursed at the adopted standard rate for the requested service. In addition to monthly standard rate charges, the Commission will be responsible for the Equipment Purchases – ISD shall provide the Commission with hard goods, such as telephone communications devices, computers, printers, etc., as required by the Commission to conduct business. The costs for the purchase of these items as well as the installation shall be billed to the Commission based on costs of goods and actual hours worked using the current hourly rate.
