Common use of INFORMATION TO BE FURNISHED BY THE TRUST AND FUNDS Clause in Contracts

INFORMATION TO BE FURNISHED BY THE TRUST AND FUNDS. The Trust has furnished to BISYS the following, as amended and current as of the Effective Date: (a) A copy of the Declaration of Trust of the Trust and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed. (b) A copy of the Trust's Bylaws and any amendments thereto; (c) Certified copies of resolutions of the Board covering the following matters: (i) Approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and (ii) Authorization of BISYS to act as Transfer Agent for the Trust. (d) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters. (e) Two copies of the following (if such documents are employed by the Trust): (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (g) A copy of the Trust's written AML Program, including related Policies and Procedures.

(dc) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, Trust and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons persons, who (except as otherwise provided herein to the contrary) shall be are authorized to instruct BISYS in all matters. (ed) Two copies of the following (if such documents are employed by the Trust): (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (fe) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (g) A copy of the Trust's written AML Program, including related Policies and Procedures.

(diii) A copy of the Trust’s written AML Program, as defined in Section 2 of this Agreement, including related Policies and Procedures. (c) A list of all officers of the Trust, with the Trust's ’s AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons persons, who (except as otherwise provided herein to the contrary) shall be are authorized to instruct BISYS SunGard in all matters. (ed) Two copies of the following (if such documents are employed by the Trust): (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (fe) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (d) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, Trust and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters. (b) A copy of the Trust's ’s Bylaws and any amendments thereto; (c) Certified copies of resolutions of the Board covering the following matters: (i) Approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and; (ii) Authorization of BISYS to act as Transfer Agent for the Trust; and (iii) Authorization of BFI to act as non-bank trustee/custodian. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (g) A copy of the Trust's ’s written Anti-Money Laundering Program (the “AML Program”), including related Policies and Procedures. (h) A copy of the As-Of Trading Policy. (i) A copy of the Trust’s written compliance procedures.

Approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and (ii) B. Authorization of BISYS to act as Transfer Agent for the TrustTrust on behalf of the Funds. (dc) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons officers, who (except as otherwise provided herein to the contrary) shall be are authorized to instruct BISYS in all matters. (ed) Two copies of the following (if such documents are employed by the Trust): (i) 1. Prospectuses and Statement of Additional Information; (ii) 2. Distribution Agreement; and (iii) 3. All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (fe) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date of BISYS’ appointment as Transfer Agent (or as of the date on which BISYS’ services are commenced, whichever is the later date) and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (g) A copy of the Trust's written AML Program, including related Policies and Procedures.

INFORMATION TO BE FURNISHED BY THE TRUST AND FUNDS. The Trust has furnished agrees to furnish to BISYS the following, upon BISYS' request, each as amended and current as of the Effective Date: (a) A copy of the Declaration of Trust of the Trust Charter and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed.; (b) A copy of the Trust's Bylaws By-laws and any amendments thereto; (c) Certified copies A copy of the resolutions of the Board covering the following matters: regarding (i) Approval approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and and (ii) Authorization authorization of BISYS to act as Transfer Agent administrator, fund accountant and transfer agent for the Trust.; (d) A certified list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters.; (e) Two copies Copies of each of the following (if such documents are employed by the Trust):: (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor distributor with regard to their relationships and transactions with shareholders of the Funds. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust.; (g) Contact information for the Trust's financing agent, if share-class financing is applicable; (h) A copy of the Trust's written AML Program, including any related Policies policies and Procedures.procedures; (i) A copy of the disclosure controls and procedures of the Funds ("Fund DCPs") as contemplated by Schedule B; and (j) The Trust's Valuation Procedures as defined in Schedule C.

The Trust has furnished to BISYS BISYS, or will furnish upon request, the following, as amended and current as of the Effective Date: (a) A copy of the Declaration of Amended and Restated Trust Instrument of the Trust and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed.; (b) A copy of the Trust's Bylaws By-laws and any amendments thereto; (c) Certified copies A copy of the resolutions of the Board covering the following matters: regarding (i) Approval approval of this Agreement and authorization of a specified officer officers of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and and (ii) Authorization authorization of BISYS to act as Transfer Agent administrator, fund accountant and transfer agent for the Trust.; (d) A certified list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters.; (e) Two copies of each of the following (if such documents are employed by the Trust):: (i) Prospectuses Prospectus and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor distributor with regard to their relationships and transactions with shareholders of the Funds. The Upon the request of BISYS, the Trust has furnished agrees to furnish to BISYS the following, as amended and current as of the Effective Date: (a) A copy of the Declaration of Trust of the Trust and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed.; (b) A copy of the Trust's Bylaws By-laws and any amendments thereto; (c) Certified copies A copy of the resolutions of the Board covering the following matters: regarding (i) Approval approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and and (ii) Authorization authorization of BISYS to act as Transfer Agent administrator, fund accountant and transfer agent for the Trust.; (d) A certified list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters.; (e) Two copies Copies of each of the following (if such then-current documents are employed utilized by the Trust):: (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor distributor with regard to their relationships and transactions with shareholders of the Funds. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust.; (g) A copy of the Trust's written AML Program, including any related Policies policies and Procedures.procedures; (h) A copy of the disclosure controls and procedures of the Funds ("Fund DCPs") as contemplated in Item 22 of Schedule B; and (i) The Trust's Valuation Procedures as defined in Schedule C.

The Trust has furnished to BISYS Citi the following, as amended and current as of the Effective Date: (a) A copy of the Declaration of Trust of the Trust and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed. (b) Copies of the following documents: 1. A copy of the Trust's ’s Bylaws and any amendments thereto; (c) 2. Certified copies of if resolutions of the Board of Trustees covering the following matters: (i) A. Approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS Citi hereunder; , and (ii) B. Authorization of BISYS Citi to act as Transfer Agent for the TrustTrust on behalf of the Funds. (dc) A list (together with specimen signatures) of (i) all officers of the Trust, Trust with the Trust's ’s AML Compliance Officer included among the officers therein, and (ii) any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS Citi in all mattersmatters pertaining to the performance of this Agreement. (ed) Two copies of the following (if such documents are employed by the Trust): (i) 1. Prospectuses and Statement Statements of Additional Information; (ii) 2. Distribution Agreement; and (iii) 3. All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (fe) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date of Citi’s appointment as Transfer Agent (or as of the date on which Citi’s services are commenced, whichever is the later date) and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (gf) A copy of the Trust's ’s written AML Program, including related Policies and Procedures.

Certified copies of resolutions of the Board of Trustees covering the following matters: (i) A. Approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and (ii) B. Authorization of BISYS to act as Transfer Agent for the TrustTrust on behalf of the Funds. (dc) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (g) A copy of the Trust's written AML Program, including any related Policies and Procedures. (h) A copy of the Fund DCP, as defined in Item 22 of Schedule D.

INFORMATION TO BE FURNISHED BY THE TRUST AND FUNDS. The Trust has furnished to BISYS the following, as amended and current as of the Effective Date: (a) A copy of the Declaration of Trust Charter of the Trust and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed. (b) A copy of the Trust's Bylaws and any amendments thereto; (c) Certified copies A copy of the resolutions of the Board covering the following matters: regarding (iA) Approval approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and and (iiB) Authorization authorization of BISYS to act as Transfer Agent for the Trust. (d) A certified list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters. (e) Two copies of the following (if such documents are employed by the Trust): (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (d) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters. (e) Two copies of the following (if such documents are employed by the Trust): (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor with regard to their relationships and transactions with shareholders of the Funds. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust. (d) A list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters. The Trust has furnished to BISYS BISYS, or will furnish upon request, the following, as amended and current as of the Effective Date: (a) A copy of the Declaration of Trust of the Trust and of any amendments thereto, certified by the proper official of the state in which such Declaration has been filed.; (b) A copy of the Trust's Bylaws By-laws and any amendments thereto; (c) Certified copies A copy of the resolutions of the Board covering the following matters: regarding (i) Approval approval of this Agreement and authorization of a specified officer of the Trust to execute and deliver this Agreement and authorization for specified officers of the Trust to instruct BISYS hereunder; and and (ii) Authorization authorization of BISYS to act as Transfer Agent administrator, fund accountant and transfer agent for the Trust.; (d) A certified list of all officers of the Trust, with the Trust's AML Compliance Officer included among the officers therein, and any other persons (who may be associated with the Trust or its investment advisor), together with specimen signatures of those officers and other persons who (except as otherwise provided herein to the contrary) shall be authorized to instruct BISYS in all matters.; (e) Two copies of each of the following (if such documents are employed by the Trust):: (i) Prospectuses and Statement of Additional Information; (ii) Distribution Agreement; and (iii) All other forms commonly used by the Trust or its Distributor distributor with regard to their relationships and transactions with shareholders of the Funds. (f) A certificate as to shares of beneficial interest of the Trust authorized, issued, and outstanding as of the Effective Date and as to receipt of full consideration by the Trust for all shares outstanding, such statement to be certified by the Treasurer of the Trust.; (g) A copy of the Trust's written AML Program, including any related Policies policies and procedures; (h) A copy of the disclosure controls and procedures of the Funds ("Fund DCPs") as contemplated in Item 22 of Schedule B; and (i) The Trust's Valuation Procedures., as defined in Schedule C.
