Common use of Information to be Provided by Buyer Clause in Contracts

Information to be Provided by Buyer. With respect to the taxable period in 2006 prior to the Closing Date, Buyer will promptly cause the Company to prepare and provide to Seller a package of tax information materials (the “Tax Package”), which will be completed in accordance with past practice of the Company including past practice as to providing the information, schedules and work papers and as to the method of computation of separate taxable income or other relevant measure of income. Buyer will cause the Tax Package for the portion of the taxable period ending on the Closing Date to be delivered to Seller within one hundred twenty (120) days after the Closing Date.
