Common use of Infringement of Seller Rights Clause in Contracts

Infringement of Seller Rights. To Seller’s Knowledge, no Person (including any current or former employee or consultant of Seller) is infringing, violating or misappropriating, in any materials respect, (i) any of the Seller Owned Intellectual Property or (ii) any Seller Licensed Intellectual Property.

Infringement of Seller Rights. To the knowledge of Seller’s Knowledge, no Person (including any current or former employee or consultant of Sellerany member of the Seller Group) is infringing, violating or misappropriating, in any materials respect, misappropriating (i) any of the Seller Owned Intellectual Property or (ii) any Seller Licensed Intellectual Property. Seller has made available to Buyer copies of all correspondence, analyses, legal opinions, complaints, claims, notices or threats concerning the infringement, violation or misappropriation of any Seller Owned Intellectual Property or Seller Licensed Intellectual Property.
