Common use of Initial Credit Facility Provider Consent Clause in Contracts

Initial Credit Facility Provider Consent. To the extent that the Initial Credit Facility Provider’s consent or approval (including with respect to any amendment) is required under this Indenture, the Guarantor Indenture or any other Related Document, such consent is not required in the event that (x) no ACS Group Subclass A-1 Securities are Outstanding and (y) no Credit Facility Advance Obligations are due and owing to the Initial Credit Facility Provider (and, in the case of the issuance of ACS Group Additional Securities, if any, an Initial Credit Facility Non-Consent Event has occurred).
