Initial Deposit with Trustee. On the date hereof, Reinsurer shall deposit, or cause to be deposited, assets into the Trust Account in an amount at least equal to the Gross Statutory Reserves (which deposit shall include the amounts deposited pursuant to Section 5.1(a)) as estimated by Seller as of the end of the last day of the month immediately preceding the month in which the Closing Date occurs (or, if the Closing Date occurs on or before the 15th day of a month, as of the end of the last day of the month that is the second month immediately preceding the month in which the Closing Date occurs.
