Initial Forecast. Upon the execution of this Agreement, CUSTOMER shall provide SANMINA-SCI with (i) an initial ninety (90) day firm Order and (ii) a forecast for Product requirements (in monthly buckets) for an additional nine (9) months ("Forecast"). All Orders shall be binding and may be rescheduled only in accordance with Section 4.2(d), or cancelled upon payment of (1) the purchase price of the Product (if the cancellation is made within 30 days of the scheduled delivery date) or (2) the amounts set forth in Section 4.2(f) (if cancellation is made outside of such 30-day period). SANMINA-SCI shall make purchase commitments (including purchase commitments for Long Leadtime Components) to its Component suppliers ("Vendors") based upon the Order and Forecast, and CUSTOMER shall be responsible for all such Components purchased in support of Customer's then-current Forecast. For all other purposes, however, the Forecast shall be non-binding.
Initial Forecast. To better enable Orion to plan its Product production program for the Territory, USL shall inform Orion at least nine (9) months prior to the anticipated date of Orion’s first delivery to USL preceding the anticipated date of the First Commercial Sale of Product in the Territory of USL’s estimated requirements in Units of the Product for the first twenty four (24) calendar months after said First Commercial Sale, (such forecast being referred to herein as an “Initial Forecast”). Until a Routine Forecast is established according to Section 6.2 (b) below, USL will revise this Initial Forecast by the end of each succeeding calendar quarter and inform Orion of same in writing. It is understood that any estimates provided pursuant to this Section 6.2(a) are provided for planning purposes only and are not intended to be binding upon USL or Orion.
Initial Forecast. Not less than [ * ] following the Effective Date, Grünenthal shall provide AcelRx a non-binding forecast (“Preliminary Non-Binding Forecast”) of what Grünenthal expects to provide as its Initial Forecast, when that becomes due to be provided pursuant the following sentence. Not less than [ * ] prior to the first anticipated delivery of the Product to Grünenthal, Grünenthal shall provide AcelRx its initial [ * ] rolling forecast (“Initial Forecast”) and initial three (3) month purchase order, in each case, separated into quantities of Drug, Dispenser Kits and Reusables Kits. Except as may be expressly agreed by the Parties, the Initial Forecast shall be no more than [ * ], and no less than [ * ], of the Preliminary Non-Binding Forecast.
Initial Forecast. Each Forecast under this Section 3.1 shall include the anticipated number of Panther Instruments and the requested delivery dates. Roka previously provided Gen-Probe with a written Forecast covering its requirements for Panther Instruments for each of the four (4) Calendar Quarters in 2011 (the “2011 Forecast”). The 2011 Forecast shall be binding on Roka. Gen-Probe responded to the 2011 Forecast in writing (which term expressly includes email correspondence) indicating whether and to what extent it will be able to commit to supply Roka with its requirements as indicated in the 2011 Forecast. Gen-Probe shall use Commercially Reasonable Efforts to meet the forecasted demand of Roka for Panther Instruments as to which Gen-Probe has undertaken an obligation to manufacture in accordance with the preceding sentence.
Initial Forecast. Upon execution of this Supply Agreement, Customer will provide Pfizer with Customer’s good faith estimate of Customer’s projected requirements for supply of API Bulk Drug Substance for delivery during the first [***] (such estimate, the “Initial Supply Forecast”). The first [***] of the Initial Supply Forecast will be binding and Customer shall issue a Purchase Order as contemplated by Section 2.02 herein for this first [***] of the initial rolling supply forecast. The following [***] of such Initial Supply Forecast will be a binding commitment in which the Customer shall not change the quantities in any month by more than [***]. The last [***] of such Initial Supply Forecast shall be a good faith estimate provided solely to assist Pfizer in production planning.
Initial Forecast. An initial forecast of the Devices, including delivery dates, anticipated to be required by Transave for clinical trials is set forth in Exhibit 7.5(b). Such forecast shall not be binding on either Party, unless and until such quantities and dates are confirmed in written purchase orders issued by Transave and accepted by PARI or set forth in a Work Plan executed by the Parties. Transave agrees to provide PARI a lead time of at least two (2) months.

For all other purposes, however, the Forecast shall be non-binding and will be provided to SANMINA-SCI for estimation purposes only.
Initial Forecast. Not more than [*] prior to the first anticipated delivery date of Licensed Product, Chiron shall submit to Cubist the first written forecast ("INITIAL FORECAST") of the quantities of Filled Products it expects to purchase from Cubist during the succeeding [*]. Subject to Section 4.6, (a) the first [*] of the Initial Forecast shall not be binding upon Cubist, (b) the [*] of the Initial Forecast shall be binding upon Chiron and Cubist, (c) the [*] shall be binding to the extent that Chiron shall be obligated to purchase and Cubist shall be obligated to supply not less than [*] of the forecasted quantities of Filled Products, but Chiron may, at its option, purchase, and Cubist shall be obligated to supply, up to [*] of the quantities forecasted for those [*] (the latter quantities being referred to hereinafter as the "INITIAL FORECAST MAXIMUM QUANTITIES") and (d) the [*] of the Initial Forecast shall be non-binding.
Initial Forecast. Within [***] days of the delivery of the written notification required by Section 4.1(a), Recro will provide to Alkermes a Rolling Forecast of expected Requirements.
