Common use of Initial New Allograft Forecast Clause in Contracts

Initial New Allograft Forecast. With respect to any New Allograft added to Schedule 2.1 in accordance with the terms of Section 6.3, MSD shall provide a good faith non-binding forecast of MSD’s demand (each an “Initial New Allograft Forecast”) for such New Allograft for the following three (3) calendar months along with the next scheduled MSD Forecast and such forecast may contain, in MSD’s discretion, an initial stocking order. In subsequent months, such New Allografts shall be included in the MSD Binding Forecast and the MSD Forecasts.

With respect to any Jointly-Developed New Allograft added to Schedule 2.1 in accordance with the terms of Section 6.3, MSD shall provide a good faith non-binding forecast of MSD’s demand (each an “Initial New Allograft Forecast”) for such New Allograft allograft for the following three (3) calendar months along with the next scheduled MSD Forecast and such forecast may contain, in MSD’s discretion, an initial stocking order. In subsequent months, such New Allografts allograft shall be included in the MSD Binding Forecast and the MSD Forecasts.
