Initial Purchase Price Payment; Initial Contribution of Receivables by TXU. On the terms and subject to the conditions set forth in this Agreement, the Company agrees to (a) pay to such Originator the Purchase Price for the purchase to be made from such Originator on the Closing Date for such Originator partially in cash (in an amount to be agreed between the Company and such Originator) and partially by the delivery of proceeds of a subordinated loan made by such Originator to the Company in an initial principal amount equal to the remaining Purchase Price, which loan shall be evidenced by a promissory note in the form of Exhibit A (each such promissory note issued to an Originator, as it may be amended, supplemented, endorsed or otherwise modified from time to time, together with all promissory notes issued from time to time in substitution therefor or renewal thereof in accordance with the Transaction Documents, being herein called a “Company Note”), or (b) with respect to Receivables originated by TXU, accept a contribution of Receivables to its capital (in an amount to be agreed between the Company and TXU) on the Closing Date for TXU
