Common use of Initial Purchasers' Information Clause in Contracts

The Company and the Guarantors acknowledge that the statements with respect to the offering of the Initial Notes set forth in the third and fourth sentences of the second paragraph, the first sentence of the fourth paragraph, the fifth and sixth sentences of the seventh paragraph and the eighth paragraph, in each case under the caption "Plan of Distribution" in the Offering Memorandum, constitute the only information relating to any of the Initial Purchasers furnished to the Company and the Guarantors in writing by or on behalf of the Initial Purchasers expressly for use in the Offering Memorandum.
