Common use of Initial Purchasers' Review of Proposed Amendments and Supplements Clause in Contracts

Initial Purchasers' Review of Proposed Amendments and Supplements. During such period beginning on the date hereof and ending on the date which is the earlier of nine months after the date hereof or the completion of the resale of the Debentures by the Initial Purchasers (as notified by the Initial Purchasers to the Company), prior to amending or supplementing the Offering Memorandum, the Company shall furnish to each of the Initial Purchasers for review a copy of each such proposed amendment or supplement.

During such the period beginning on the date hereof and ending on the date which is the earlier of nine months after the date hereof or and the completion of the resale Exempt Resales of the Debentures Notes by the Initial Purchasers (as notified by the Initial Purchasers to the Company), the Company shall, prior to amending or supplementing the Offering Memorandum, the Company shall furnish to each of the Initial Purchasers for review a copy of each such proposed amendment or supplement, and the Company shall not print or distribute such proposed amendment or supplement to which the Initial Purchasers reasonably object within a reasonable time, but in any event not longer than three business days after being furnished a copy of such amendment or supplement.

During such period beginning on the date hereof Applicable Time and ending on the date which is the earlier of nine months after the date hereof Applicable Time or the completion of the resale of the Debentures Notes by the Initial Purchasers Purchaser (as notified by the Initial Purchasers Purchaser to the Company), prior to amending or supplementing the Disclosure Package or the Final Offering Memorandum, the Company shall furnish to each of the Initial Purchasers Purchaser for review a copy of each such proposed amendment or supplement, and the Company shall not print or distribute such proposed amendment or supplement to which the Initial Purchaser reasonably objects.
