Initial Research Plan and Activities. Attached hereto as Schedule 3.1.2 is the initial Research Plan, which plan assigns responsibility for research activities between the Parties. Each Party shall use Commercially Reasonable Efforts to perform the activities assigned to it under the Research Plan. Each Party shall conduct its activities under the Research Plan in accordance with the terms and conditions of this Agreement. Each Party shall use Commercially Reasonable Efforts to devote to its activities under the Research Plan those FTEs specified in the Research Plan.
