Initial Responsibilities. The Parties agree that their responsibilities shall be as follows;
4.1 Andhika will secure the proper approvals to sell its' rights to the Property as well as its' rights to the Government Licenses. Andhika will assist with the development of the Project in conjunction with the Parties as needed. In particular, Andhika will take all steps necessary or deemed advisable by Singkamas to secure the CoW for the exploitation of coal on the Property. Andhika has reviewed preliminary geological surveys on the Property and will provide all of this information as well as all future information to the Parties on a continual basis. Andhika will give Singkamas first priority/option for any future coal mining opportunities for acquisition and/or for working together in seeking other coal mining projects. In particular, Andhika must give first priority to Singkamas to acquire any additional property which are contiguous with the current property. In those instances where these contiguous property and/or other property region are owned and/or controlled by friends, families, and/or directors of other local PT. Companies which are associated with Andhika, Andhika must give priority to Singkamas to acquire such property, if available.
4.2 Singkamas will be responsible to provide and/or secure financing for the Project, provide world-class technologies and management/exploration teams and, if necessary, a strategic operator(s) to develop the Property Singkamas will jointly assist the Project with Andhika.
4.3 Singkamas may appoint a qualified Indonesian party to accept the transfer of CoW and may at any time at its discretion cause or permit such party to transfer such property and licenses to any third party based on prevailing regulations and subject to Anugrah's continuing rights under the Agreement being respected by such transferee. 96 [SEAL]

Initial Responsibilities. Broin Management shall provide to Company the full-time services of an ethanol plant general manager. The general manager’s responsibilities shall be determined and modified from time to time in Broin Management’s reasonable discretion and shall initially include the following:
A. To oversee all of Company’s business operations, including, but not limited to, plant operations, purchasing operations, marketing operations, personnel, and any and all other matters relating to Company’s operations.
B. To timely report to Broin Management and Company on a schedule determined by the Company’s Board financial information and operational information pursuant to policies established by Broin Management and Company.
C. To direct Company communications and public relations, and to ▇▇▇▇▇▇ a positive Company image and relationships with city, community, county, state, and national officials, representatives, residents, and other persons.
D. To adopt, implement, and administer Company’s compensation and benefits packages in effect from time to time.
E. To be knowledgeable of all relevant activities of the state legislature and United States Congress, to encourage the retention and/or expansion of current incentives available to the ethanol industry, and to promote any state or federal legislative effort as directed by Broin Management.
F. To purchase on Company’s behalf capital assets and services up to the maximum limit for which the general manager has authority to purchase as determined by Broin Management from time to time.
G. To recommend Company’s purchase of capital assets and services in excess of the maximum limit for which the general manager is authorized to purchase, as determined by Broin Management from time to time.
H. To sign checks, withdraw funds, and deposit funds with Company’s financial institutions.
I. To oversee grain and other raw materials purchases, ethanol marketing and sales activities, and ethanol co-product marketing and sales activities.
J. To assume those additional responsibilities assigned by Broin Management from time to time and carry out the directives of Broin Management, and to implement policies adopted by the Company’s Board.
Initial Responsibilities. Broin Management shall provide the full-time services of an ethanol plant technical manager. The technical manager’s responsibilities shall be determined and modified from time to time in Broin Management’s reasonable discretion.

Without limiting the generality of the foregoing, initially Employee shall serve as the Chief Operating Officer and as an Executive Vice President of the Company and as President of LDI Wireless (regardless of whether LDI Wireless is organized as a division or as a subsidiary or affiliate of any of the LDI Companies). Without limiting the generality of the foregoing, (x) Employee shall prepare and submit semi-annually to the Chief Financial Officer and the Chairman a budget for those operations for which Employee has responsibility as Chief Operating Officer, (y) Employee shall perform his duties within the approved budget for such operations, including such duties as relating to personnel, and (z) shall report to Clif▇▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇ in his absence or unavailability or if he shall not then be employed by the Company, to the Board of Directors or such other officer(s) as the Board of Directors shall determine from time to time. Subject to paragraph (a) above, a reassignment of Employee's initial responsibilities from those describe under this paragraph (b), shall not be and shall not be deemed to be a breach of this Agreement by the Company; provided that Employee shall have a title of Vice President or above and shall be headquartered at the Company's headquarters in Florida or the Company's offices in New York City.

5.2 MAXWELLS ENERGY AND METALS TECHNOLOGY LTD. will be responsible to provide and/or secure financing for the PROJECT, provide for all international technology transfers and provide a strategic operator(s) to gain the license(s) from the Government.
