The Initial Member acknowledges that, initially, it is the intention of the Initial Member that the Company be disregarded as an entity separate from the Initial Member for federal and state income tax purposes (and for no other purposes). The Company may subsequently elect to be regarded as a corporation for federal and state income tax purposes.
