There shall be no effective injunction, writ, preliminary restraining order or any other order or legal restraint or prohibition of any nature issued by a Governmental Authority of competent jurisdiction or any pending Litigation that seeks to prohibit or enjoin the consummation of the transactions contemplated in this Agreement or the Ancillary Agreements.
