Injunction, etc. At the Closing, there shall not be any Order outstanding against any party hereto or Law promulgated that restrains, prohibits, invalidates or otherwise prevents consummation of the transactions contemplated by, or seeks damages as a result of or otherwise interferes with this Agreement or any of the conditions to the consummation of the transactions contemplated by this Agreement or would be likely to have any Material Adverse Effect on the Company or the Business to be purchased by the Buyer hereunder.
Injunction, etc. At the Effective Time there shall be no judgment, decree, injunction, ruling or order of any court, governmental department, commission, agency or instrumentality outstanding against CBRL, Cracker Barrel, LRI or the Company which prohibits, restricts or delays consummation of the Merger or any of the conditions to the consummation of the Merger or limits in any manner the right of CBRL to control the Company or any material aspect of the business of the Company and its Subsidiaries after the Effective Time.

No suit or proceeding shall have been instituted by any Person, or, to the knowledge of any of the Selling Shareholders, shall have been threatened by any Governmental Entity which has not been withdrawn, dismissed or otherwise eliminated, and which seeks (i) to prohibit, restrict or delay consummation of the transactions contemplated hereby or (ii) to subject the Selling Shareholders or their directors or officers to material liability on the ground that they have violated any Law or otherwise acted improperly in relation to the transactions contemplated by this Agreement.

Injunction, etc. To issue injunctions or take such other actions or make such other orders as may be necessary or appropriate to restrain interference with the Plan or its execution or implementation by any Person, to construe and to take any other action to enforce and execute the Plan, the Confirmation Order, or any other order of the Bankruptcy Court, to issue such orders as may be necessary for the implementation, execution, performance and consummation of the Plan and all matters referred to herein, and to determine all matters CHAPTER 11 PLAN that may be pending before the Bankruptcy Court in the Bankruptcy Case on or before the Effective Date with respect to any Person or Entity;
Injunction, etc. As of the Effective Time, there shall not be in effect any Law of any Governmental Entity of competent jurisdiction restraining, enjoining or otherwise preventing consummation of the transactions contemplated by this Agreement and no Governmental Entity shall have instituted any proceeding which continues to be pending seeking any such Law.
Injunction, etc. The consummation of the transactions contemplated hereby shall not have been restrained, enjoined or otherwise prohibited or made illegal by any applicable Law, including any order, injunction, decree or judgment of any court or other Governmental Authority; and no such Law that would have such an effect shall have been promulgated, entered, issued or determined by any court or other Governmental Authority to be applicable to this Agreement. No action or proceeding shall be pending or threatened by any Governmental Authority or other Person on the Closing Date before any court or other Governmental Authority to restrain, enjoin or otherwise prevent the consummation of the transactions contemplated hereby, or to recover any material damages or obtain other material relief as a result of such transactions, or that otherwise relates to the application of any such Law.
