Party hereto definition

Party hereto or “Party” shall mean Party A or Party B, as the context may require.
Party hereto means, on the one hand, GE and GECC, and on the other hand, Company. “parties hereto” means, collectively, GE, GECC and Company.
Party hereto means a party to this Agreement and the parties to this Agreement, as applicable, unless otherwise specified; (n) with respect to the determination of any period of time, “from” means “from and including”; and (o) any deadline or time period set forth in this Agreement that by its terms ends on a day that is not a Business Day shall be automatically extended to the next succeeding Business Day. Any agreement, instrument or statute defined or referred to herein means such agreement, instrument or statute as from time to time may be amended, supplemented, restated or modified, including (in the case of agreements or instruments) by waiver or consent and (in the case of statutes) by succession of comparable successor statutes.

  • No assignment of this Agreement or of any duty or obligation of performance hereunder, shall be made in whole or in part by a Party hereto without the prior written consent of the other Party.

  • Such Party has the right, power and authority to enter into this Agreement, to become a Party hereto and to perform its obligations hereunder.

  • If either Party hereto is a corporation, trust, or general or limited partnership, each individual executing this Lease on behalf of such entity represents and warrants that he or she is duly authorized to execute and deliver this Lease on its behalf.

  • In the event of termination of this Disaffiliation Agreement, no Party hereto (or any of its trustees or officers) shall have any liability or further obligation to the other Party to this Disaffiliation Agreement, except that nothing herein will relieve either Party from liability for any breach of this Disaffiliation Agreement.

  • No failure on the part of any Party hereto to complain of any action or non-action on the part of any other Party, no matter how long the same may continue, shall be deemed to be a waiver of any right hereunder by the Party(ies) so failing.

Related to Party hereto

  • Party means either the System Agency or Contractor, individually.

  • Other Party means (a) when used with respect to the Company, Parent and Merger Sub and (b) when used with respect to Parent or Merger Sub, the Company.

  • Lending Party means a third party that is not Company or an affiliate of Company that Dealer considers to be an acceptable counterparty (acting in good faith and in a reasonable manner in light of (x) other transactions that Dealer (or its agent or affiliate) may have entered into with such party and (y) any legal, regulatory or self-regulatory requirements or related policies and procedures (whether or not such requirements or related policies and procedures are imposed by law or have been voluntarily adopted by Dealer) that apply generally to transactions of a nature and kind similar to the transactions contemplated with such party).

  • Other Parent means an individual who, in common with a deploying parent, is:
