Injunction; Waiver Clause Samples

The "Injunction; Waiver" clause primarily serves to address the parties' rights regarding injunctive relief and the effect of waiving contractual rights. It typically allows a party to seek a court order to prevent the other party from taking certain actions that could cause irreparable harm, such as disclosing confidential information or violating non-compete obligations. Additionally, it clarifies that if one party chooses not to enforce a right or provision at a particular time, this does not mean they have permanently waived that right. The core function of this clause is to preserve the ability to seek immediate legal remedies when necessary and to ensure that a party's failure to enforce a right once does not forfeit their ability to enforce it in the future, thereby protecting both parties' interests and maintaining the integrity of the contract.

Injunction; Waiver. The parties acknowledge that a breach or threatened breach by them of any provision of this Agreement will result in the other entity suffering irreparable harm which cannot be calculated or fully or adequately compensated by recovery of damages alone. Accordingly, the parties agree that any party may, in its discretion (and without limiting any other available remedies), apply to any court of law or equity of competent jurisdiction for specific performance and injunctive relief (without necessity of posting a bond or undertaking in connection therewith) in order to enforce or prevent any violations of this Agreement, and any party against whom such proceeding is brought hereby waives the claim or defense that such party has an adequate remedy at law and agrees not to raise the defense that the other party has an adequate remedy at law. The failure of either party at any time to require performance of any provision of this Agreement shall in no manner affect such party’s right to enforce such provision at any later time. No waiver by any party of any provision, or the breach of any provision, contained in this Agreement shall be deemed to be a further or continuing waiver of such or any similar provision or breach.
