Injunctions; Illegality; Litigation. No Governmental Entity shall have issued, enacted, entered, promulgated or enforced any Law or Order (that is final and non-appealable and that has not been vacated, withdrawn or overturned) restraining, enjoining or otherwise prohibiting the transactions contemplated by this Agreement. No action or proceeding shall have been brought by any United States federal or state Governmental Entity (and not subsequently dismissed, settled or otherwise terminated) against Seller or Purchaser seeking to prohibit or make illegal the consummation of the transactions contemplated hereby.
