Common use of Insider Information Clause in Contracts

Insider Information. The Company shall not provide to Purchaser or its managers or control persons any information that would be deemed confidential or “insider” information in accordance with Regulation FD in the absence of a Non-Disclosure Agreement. In the event that such Purchaser is provided with confidential information for any reason, the Company shall, upon request of Purchaser and within 7 calendar days, either (i) file or furnish such information on a Current Report on Form 8-K or on such other report as the Company deems appropriate in accordance with Regulation FD or (ii) advise Purchaser that said information is not material or has otherwise become stale and irrelevant.
