Installment Election. In the case of any Taxes which may be evidenced by improvement or other bonds or which may be paid in annual or other periodic installments, Landlord shall elect to cause such bonds to be issued or such assessment to be paid in installments over the maximum period permitted by law.

So long as (A) no Default or Event of -------------------- Default then exists, and (B) the representations and warranties in Article VI are true and correct with the same effect as if made on and as of such date (except to the extent such representations and warranties expressly refer to an earlier date, in which case they are true and correct as of such earlier date), in each case of clauses (A) and (B) above on the date of such election and on the Revolving Termination Date, at least 60 days before the Revolving Termination Date the Company may, in lieu of repaying Acquisition Revolving Loans on the Revolving Termination Date under subsection 2.7(b)(i), elect to repay the aggregate principal amount of Acquisition Revolving Loans outstanding on the Revolving Termination Date in sixteen (16) consecutive quarterly equal installments, each in an amount equal to one-sixteenth of the Effective Amount of the Acquisition Revolving Loans on the Revolving Termination Date and payable on the last Business Day of each January, April, July and October through the Maturity Date, commencing on January 31, 2001. The Agent shall promptly deliver a copy of such notice to the Banks.

If any such Imposition may, at the option of the taxpayer, lawfully be paid in installments (whether or not interest shall accrue on the unpaid balance of such Imposition), the Tenant may exercise the option to pay the same (and any accrued interest on the unpaid balance of such Imposition) in installments and, in such event (unless Tenant is making monthly deposits with the Landlord in accordance with Section 4.6 hereof), shall pay such installments during the Term hereof (subject to the Tenant's right to contest set forth below) as the same respectively become due and before any fine, penalty, premium, future interest or cost may be added thereto.

If Executive dies after beginning to receive installment payments of the balance of Executive's Retirement Account pursuant to an election on Appendix B, such installment payments shall cease effective as of the month ending immediately following Executive's death and Company shall have no further obligation to Executive or his/her heirs or designees under this Agreement.

If such an election becomes effective, one-quarter of the Severance Payment shall be paid to the Executive on the fifth anniversary of the Payment Date and one-quarter of the severance payment shall be paid to the Executive on each of the next three anniversaries thereof and, in the case of each of these four payments, the amounts to be paid shall include interest from the Payment Date on the remaining unpaid balance of the Severance Payment calculated at the prime rate as in effect from time to time as published in the Wall Street Journal.
