INSTRUCTIONS AND OPINION OF COUNSEL. At any time Agent may apply to an officer of Fund for instructions and consult counsel for Fund or its own counsel on any matter arising in connection with this Agreement. Agent shall not be liable for any action taken or omitted by it in good faith in accordance with such instructions or with the advice or opinion of such counsel.
