Instructions from the Controller. Notwithstanding anything in the Standard Contract to the contrary, Licensor will only process Personal Data in order to provide the Services to Buyer, in accordance with Xxxxx’s written instructions, or as required by applicable Law. Licensor will promptly inform Xxxxx if following Buyer instructions would result in a violation of applicable data protection law or where Licensor must disclose Personal Data in response to a legal obligation (unless the legal obligation prohibits Licensor from making such disclosure).
Instructions from the Controller. The Processor and the Sub-Processor shall conclude a written agreement imposing the same data protection obligations on the Sub-Processor as those of the Processor (including in pursuance of this Processor Agreement).

The Controller has the right and obligation to decide on the purposes and methods of the processing of the Entrusted Data and to give instructions to the Processor in this regard. The instructions shall be set out in the DPA and may be given at any time by the Controller and communicated to the Processor in a documented form, i.e. in writing or electronically. 4.2. The Processor shall process the Entrusted Data only on the basis of documented instructions from the Controller, unless required to do so by the Legal Acts; in such a case, the Processor shall inform the Controller of such legal requirements prior to processing, unless such law prohibits such information for important grounds of public interest. 4.3. The Processor shall promptly comply with the Controller’s instructions regarding the processing of the Entrusted Data, in particular with regard to its security, unless such instructions are contrary to the provisions of the Legal Acts. 4.4. In the event that the Processor considers that the instructions given by the Controller may infringes the Legal Acts, the Processor shall immediately notify the Controller, stating the specific provisions that the instructions may infringe and the manner of such infringement. The Controller shall respond to the Processor’s notification no later than 72 hours from the date of receipt of the Processor’s opinion and shall decide whether to withdraw the instruction or to maintain it (in such case, the Controller shall provide a justification for the compliance of the instructions with the Legal Acts). Pending the response of the Controller, the Processor shall be entitled to suspend the processing of the Entrusted Data within the scope of the instruction. In the event of a decision to uphold the instruction to which the Processor has objected, the Controller shall be responsible for the processing of the Entrusted Data.
Instructions from the Controller. The Processor and any other person who processes personal data for the Processor who has access to personal data, shall process such personal data only in accordance with documented instructions from the Controller. This DPA is considered such documented instructions. Emails from the Controller are also considered such documented instructions.
Instructions from the Controller. 4.1 The PROVIDER shall process the Personal Data only on the basis of the written instructions of the PROVIDER and in any case in accordance with the agreed Processing Activities determined in Article 2.4 of this Agreement to perform the Services. The PROVIDER shall not further process the Personal Data covered by this Agreement in a manner inconsistent with those instructi- ons and with the provisions established in this Agreement. 4.2 The PROVIDER may unilaterally make limited changes to the instructions. The PROVIDER shall be consulted before major changes are made to the instructions. Both parties must agree to changes that affect the main provisions of the Agreement. 4.3 The PROVIDER shall process the Personal Data in accordance with Article 4.1 of this Agreement, including with respect to transfers of Personal Data to a third country or an international organization, unless a provision of Union or Member State law applicable to the PROVIDER obliges it to process, in which case the PROVIDER shall notify the PROVIDER, prior to processing, of that legal requirement, unless that law prohibits such notification for important public interest reasons.
Instructions from the Controller. The Processor and any other person who processes personal data for the Processor who has access to personal data, shall process such personal data only in accordance with documented instructions from the Controller. This DPA is considered to be such documented instructions. E-mails from the Controller are also considered to be such documented instructions. In addition, the following is considered documented instructions: [insert] Privacy by design and by default shall be a fundamental part of the Processor’s activities any service delivered to the Controller. The Processor shall ensure and be able to document that that the key principles of privacy by design and by default are adhered to by the Processor and its subcontractors as well as any system the Processor is making available to the Controller through the term of the Agreement that may process any personal data that the Controller is a supervisor for.
Instructions from the Controller. 3.1 The Processor processes the Controller's data following the instructions of the Controller, unless the Processor is legally obligated to process the data differently. In the latter case, the Processor will inform the Controller of these legal requirements before processing, unless the relevant law prohibits such notification due to a significant public interest. 3.2 The Controller's instructions are primarily defined and documented conclusively in the provisions of this Data Processing Agreement. Individual instructions that deviate from or add to the stipulations of this Data Processing Agreement require the prior consent of the Processor and are to be conducted according to the amendment procedure set out in the Main Contract, where the instruction is to be documented, and the assumption of any resultant additional costs by the Controller is to be arranged. 3.3 The Processor ensures that the Controller's data is processed in accordance with the Controller's instructions. If the Processor believes that an instruction from the Controller violates this Data Processing Agreement or applicable data protection law, the Processor is entitled, after notifying the Controller, to suspend the execution of the instruction until the Controller confirms the instruction. The parties agree that the sole responsibility for the lawful processing of the Controller's data in accordance with the instructions lies with the Controller.
