Common use of Instructions to the Owner Trust Clause in Contracts

Instructions to the Owner Trust. The Owner Participant will not ------------------------------- instruct or otherwise direct the Owner Trust to take, or omit to take, any action in violation of the express covenants and agreements of the Owner Trust in any Operative Document. Subject to Section 5 hereof, the Owner Participant will direct and instruct the Owner Trust to execute and deliver the Operative Documents to which it is to be a party and to comply with its obligations set forth therein. The Owner Participant will not unreasonably withhold its consent to or authorization of any consent requested of the Owner Trust under the terms of any Operative Document which by its terms is not to be unreasonably withheld by the Owner Trust.
