Instructions to Trustees Clause Samples
The "Instructions to Trustees" clause defines the authority and process by which trustees receive and act upon directions from designated parties, such as settlors or beneficiaries. Typically, this clause outlines who is empowered to give instructions, the form such instructions must take (for example, written or notarized), and any limitations or conditions on the trustees' obligation to comply. Its core practical function is to ensure that trustees have clear, legally recognized guidance for their actions, thereby reducing ambiguity and potential disputes over the administration of the trust.
Instructions to Trustees. The Trustees shall not be obligated or required to determine whether any instructions issued to them by the Administrative Committee are in fact so issued in accordance with the terms of the Plan or the powers and duties thereunder of said Committee.
Instructions to Trustees. The Committee shall provide appropriate written instructions to the Trustee signed by an authorized member, members or agent of the Committee to enable it to make the distributions provided for in the Plan. The Trustee shall be entitled to rely upon any written notice, instruction, direction, certificate or other communication reasonably believed by it to be genuine and to be signed by an authorized member or agent of the Committee or an officer of the Company, and the Trustee shall be under no duty to make investigation or inquiry as to the truth or accuracy of any statement contained therein, unless it knows or has reason to know that the direction or instruction constitutes a breach of the Committee's or an Employer's fiduciary responsibility with respect to the Plan.
