Instruments and Chattel Paper. Attached hereto as Schedule 10 is a true and correct list of all promissory notes, instruments (other than checks to be deposited in the ordinary course of business), tangible chattel paper, electronic chattel paper and other evidence of Indebtedness held by each Loan Party as of January 15, 2013 having an aggregate value or face amount in excess of $100,000, including all intercompany notes between or among any two or more Loan Parties or any of their Subsidiaries.
Instruments and Chattel Paper. Such Grantor has delivered to the Administrative Agent all Collateral constituting Instruments and Chattel Paper. No Collateral constituting Chattel Paper or Instruments contains any statement therein to the effect that such Collateral has been assigned to an identified party other than the Administrative Agent, and the grant of a security interest in such Collateral in favor of the Administrative Agent hereunder does not violate the rights of any other Person as a secured party.
Instruments and Chattel Paper. Such Grantor has delivered to the Administrative Agent all Collateral constituting any Instrument or Chattel Paper in excess of $1,000,000 that is required to be delivered under Section 4.04. No Collateral constituting Chattel Paper or Instruments contains any statement therein to the effect that such Collateral has been assigned to an identified party other than the Administrative Agent, and the grant of a security interest in such Collateral in favor of the Administrative Agent hereunder does not violate the rights of any other Person as a secured party.
Instruments and Chattel Paper. All instruments, including negotiable instruments and promissory notes and any other writings or records that evidence the right to payment of a monetary obligation, and tangible and electronic chattel paper.
Instruments and Chattel Paper. Attached hereto as Schedule 6 is a true and correct list of all promissory notes, instruments (other than checks to be deposited in the ordinary course of business), tangible chattel paper, electronic chattel paper and other evidence of Indebtedness held by each Loan Party as of the Closing Date having an aggregate value or face amount in excess of [***], including all intercompany notes between or among any two or more Loan Parties or any of their Subsidiaries.
Instruments and Chattel Paper. The originals of any and all instruments and chattel paper included in the Collateral, including without limitation, all promissory notes evidencing all intercompany Indebtedness owed to Borrower or any Guarantor by Borrower or any Subsidiary, each endorsed to the order of the Administrative Agent.
Instruments and Chattel Paper. Immediately upon any Borrower's receipt thereof, such Borrower shall deliver or cause to be delivered to Agent, with appropriate endorsement and assignment to vest title and possession in Agent, for the benefit of the Lenders, all chattel paper and instruments which such Borrower now owns or may at any time or times hereafter acquire.
Instruments and Chattel Paper. Attached hereto as Schedule 7 is a true and correct list of all promissory notes, instruments (other than checks to be deposited in the ordinary course of business), tangible chattel paper, electronic chattel paper, and other evidence of indebtedness held by each Company as of the date hereof including all intercompany notes between or among any two or more Companies, in each case, having an individual value of $5,000,000.00 or more.
Instruments and Chattel Paper. As of the date hereof, no amounts payable under or in connection with, or consisting of, any of the Collateral are evidenced by any Instrument or Chattel Paper with a value in excess of $1,000,000, other than such Instruments and Chattel Paper listed in Schedule 3.08 hereto. Each Instrument and each item of Chattel Paper listed in Schedule 3.08 hereto has been properly endorsed, assigned and delivered to the Collateral Agent, accompanied by instruments of transfer or assignment duly executed in blank.
Instruments and Chattel Paper. Such Grantor has as of the date hereof (or hereafter, within ten (10) Business Days of receipt thereof) delivered to the Administrative Agent all Collateral constituting Instruments (other than checks in the ordinary course of business) and Chattel Paper evidencing Indebtedness, in each case individually with a face amount in excess of $15,000,000.
