Common use of Instruments of Conveyance and Transfer Clause in Contracts

Instruments of Conveyance and Transfer. At the Closing, the Seller shall deliver to the Purchaser such bills of sale, endorsements, assignments and other instruments of transfer, conveyance and assignment (in a form satisfactory to the Seller and the Purchaser) as shall be necessary in the reasonable judgment of the Purchaser to transfer, convey and assign the Acquired Assets to the Purchaser.

Instruments of Conveyance and Transfer. At the Closing, the Seller shall deliver have delivered to the Purchaser Buyer such bills of sale, endorsements, assignments including assignments of leases and contracts, estoppels and other good and sufficient instruments of conveyance and transfer, conveyance in form and assignment (in a form substance reasonably satisfactory to Buyer and its counsel, as are effective to vest in Buyer good and marketable title to the Assets. Simultaneously with such delivery, Seller shall take or cause to be taken all such other steps as are reasonably necessary to put Buyer in actual possession and the Purchaser) as shall be necessary in the reasonable judgment operating control of the Purchaser to transfer, convey and assign the Acquired Assets to the PurchaserAssets.

At the Closing, the each Seller shall deliver have delivered to Buyer a bill of sale in form and substaxxx reasonably satisfactory to Buyer and consistent with the Purchaser terms hereof, as well as such bills of sale, endorsements, assignments and other instruments of transferassignment, conveyance and assignment (in a form satisfactory to the Seller and the Purchaser) transfer as Buyer shall be necessary in the reasonable judgment of the Purchaser to transfer, convey and assign the Acquired Assets to the Purchaserreasonably require.
