Common use of Insurance and Indemnity Clause in Contracts

Insurance and Indemnity. (i) You are liable for: (a) the cost of repair of any damage (including accidental and malicious damage) done to any part of the premises including its curtilage or its contents (b) the cost of repair of any damage (including accidental and malicious damage) done to our WiFi service (if any) (c) all claims, losses, damages and costs made against or incurred by us, our employees, volunteers, agents or invitees in respect of damage or loss of property or injury to persons arising as a result of your use of the premises (including the storage of equipment) and your use of our WiFi service (if any), and (d) all claims, losses, damages and costs made against or incurred by us as a result of any nuisance caused to a third party as a result of your use of the premises and/or the use of our WiFi service (if any), and subject to sub-clause (ii), you must indemnify us against such liabilities. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. Insurance and Indemnity. (iA) You are liable for: (a) Lessee shall, throughout the Term or Renewal Terms, if any, of this Lease, at its own cost of repair of any and expense, procure and maintain insurance which covers the Leased Premises and improvements against fire, wind, and storm damage (including accidental flood insurance if the Leased Premises is in a federally designated flood prone area) and such other risks as may be included in the broadest form of extended coverage insurance as may, from time to time, be available in amounts sufficient to prevent Lessor or Lessee from becoming a co-insurer within the terms of the applicable policies. In any event, the insurance coverage shall not be less than one hundred percent (100%) of the then insurable value. Additionally, replacement cost endorsements, vandalism endorsement, malicious mischief endorsement, waiver of subrogation endorsement, waiver of co- insurance endorsement (if available), shall be obtained. (B) Lessee agrees to place and maintain throughout the Term or Renewal Terms, if any, of this Lease, at Lessee's own expense, public liability insurance with respect to Lessee's use and occupancy of said premises, with initial limits of at least $2,000,000/$5,000,000 for bodily injury and $l00,000 for property damage, or such additional amounts subject to commercially reasonable deductibles, as Lessor shall reasonably require from time to time, and pollution liability or environmental impact coverage with limits in amounts reasonably acceptable to Lessor. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between pay Lessor the amount of the liability and premiums due or paid, together with interest thereon at the monies we receive under current prime rate plus two percent, which amount shall be considered rent payable by Lessee in addition to the insurance policyRental defined at Article 4 hereof. (E) Lessee shall defend, you must take out adequate insurance indemnify, and hold Lessor harmless against any and all claims, damages, and lawsuits arising after the Occupancy Date of this Lease and any orders, decrees or judgments which may be entered therein, brought for damages or alleged damages resulting from any injury to insure person or property or from loss of life sustained in or about the Leased Premises, and Lessee agrees to save Lessor harmless from, and indemnify Lessor against, any and all injury, loss, or damage, of whatever nature, to any person or property caused by, or resulting from any act, omission, or negligence of Lessee or any employee or agent of Lessee. In addition, Lessee hereby releases Lessor from any and all liability for any loss or damage caused by fire or any of the extended coverage casualties, even if such liability and on demand must produce the policy and current receipt fire or other evidence casualty shall be brought about by the negligence (but not the gross negligence or intentional or willful misconduct or malice) of cover Lessor. Insurance and Indemnity. (i) You are liable for: (a) Subtenant shall maintain the cost policies of repair insurance required to be maintained by the Tenant as set forth in Section 10 of the Prime Lease. Such coverage shall meet or exceed the requirements for Tenant’s coverage under the Prime Lease. All such policies shall be issued by reputable insurance companies reasonably approved by Sublandlord and Landlord, and such policies cannot be modified or cancelled without at least 30 days’ prior written notice to Sublandlord. Subtenant shall name Sublandlord, Landlord, its general partners and Managing Agent as additional insureds under the general liability and umbrella policies required by the Prime Lease and as loss payees under any property policy; and each policy shall contain a waiver of subrogation in favor of Sublandlord. On or before the Commencement Date, Subtenant shall furnish to Sublandlord said policies or certificates thereof evidencing that the required coverage is being maintained, together with such evidence as Sublandlord shall deem reasonably satisfactory of the payment of premiums thereon. Sublandlord shall not be liable to Subtenant or any other person or corporation, including employees, for any damage (including accidental to their property caused by water, rain, snow, frost, fire, storm or accidents, theft, or by breakage, stoppage, or leakage of water, gas, heating, and malicious damage) done sewer pipes or plumbing, upon, about, or adjacent to any part of the premises including its curtilage or its contentsSublease Space. (b) the cost of repair of Subtenant shall defend (with counsel reasonably approved by Sublandlord), indemnify, and hold harmless Sublandlord from and against any damage and all claims, liabilities, damages, losses, costs, and expenses (including accidental and malicious damagereasonable attorneys’ fees) done in any way arising out of, relating to, or connected with (a) any breach, default or failure to our WiFi service perform on the part of a Subtenant Party under this Sublease, (if any) b) any act or omission of a Subtenant Party that constitutes a default under the Prime Lease, (c) all any activity, work, or other thing done, permitted, or suffered by Subtenant or a Subtenant Party in or about the Sublease Space, the Building, or any part thereof, and any negligence or willful misconduct of a Subtenant Party, (d) the use or occupancy of the Sublease Space, the Building, or any part thereof by a Subtenant Party, (e) any holdover by a Subtenant Party beyond the expiration (or earlier termination) of the Sublease Term, and (f) any actions taken by Sublandlord following Subtenant’s request of Sublandlord to take action pursuant to the terms hereof or the Prime Lease, except, in each case, to the extent any such claims, liabilities, damages, losses, damages and costs made against or incurred expenses arise out of, relate to or are connected with the gross negligence, unlawful conduct, or willful misconduct or breach of this Sublease or the Prime Lease by usSublandlord and/or its agents, our contractors, or employees, volunteersor Landlord and/or its agents, agents contractors, or invitees in respect employees. Subtenant assumes all risk of damage or loss of to its property or injury injuries or death to persons arising as persons, in, on, or about the Sublease Space, from all causes, except to the extent such damage or loss is caused by the gross negligence or willful misconduct of Sublandlord and/or its agents, contractors, or employees. The provisions of this Section 13 shall survive the expiration or earlier termination of this Sublease. As used in this Sublease, a result “Subtenant Party” refers individually and collectively to Subtenant and/or any of your use of the premises (including the storage of equipment) and your use of our WiFi service (if any)Subtenant’s agents, and (d) all claimsemployees, lossesaffiliates, damages and costs made against contractors, invitees, subtenants, licensees, assignees, or incurred by us as a result of any nuisance caused to a third party as a result of your use of the premises and/or the use of our WiFi service (if any)anyone claiming by, and subject to sub-clause (ii), you must indemnify us against such liabilitiesthrough or under Subtenant. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. We are insured against any claims arising out of our own negligence.

We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. We are insured against any claims arising out of our own negligence. (iv) The hirer will not do or bring anything into the Village Hall which may endanger or render invalid any insurance policies. This includes the use or storage of liquid gas or petroleum products without express permission in writing from the authorised representative.

Insurance and Indemnity. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses (i)(a) and (b) above and may, in at our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Bookings Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. We are insured against any claims arising out of our own negligence.

(ii) We will take out adequate insurance for non-commercial hirers to insure the liabilities described in sub-sub- clauses (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirersdiscretion, insure the liabilities described in sub-clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. . (v) Any commercial or business hirers of the hall or commercial or business parties attending the hall for whatever reason must have their own public liability insurance and employers liability insurance if required. (vi) We will not provide indemnity in respect of, any commercial or business hire, any individual, club, organisation, society or group who hire the hall for activities regarded as not being for the benefit of the community, or where indemnity is provided by another insurance policy.

(i) You are liable for: (a) the cost of repair of any damage (including costs arising from accidental and malicious damage) done loss or damage and for loss or damage arising out of your negligence to any part of the premises including its curtilage or its contents (b) the cost of repair of any damage (including costs arising from accidental and malicious damage) loss or damage and for loss or damage arising out of your negligence done to our WiFi service (if any) (c) all claims, losses, damages and costs made against or incurred by us, our employees, volunteers, agents or invitees in respect of damage or loss of property or injury to persons arising as a result of your use of the premises (including the storage of equipment) and your use of our WiFi service (if any), and (d) all claims, losses, damages and costs made against or incurred by us as a result of any nuisance caused to a third party as a result of your use of the premises and/or the use of our WiFi service (if any), and subject to sub-clause (ii), you must indemnify us against such liabilities. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-sub- clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. Insurance and Indemnity. (i) You are liable for: (a) Licensee shall fully indemnify and hold harmless Licensor, and its respective directors, officers, subsidiaries, employees, affiliates, agents, joint venture partners, successors and assigns (collectively, the cost of repair “Owner Parties”), from any and all suits, judgments, litigation, claims, damages, injuries, deaths, liabilities, losses and expenses (including but not limited to reasonable attorney’s fees, incurred in defending any claim by a third person, amounts paid in settlement of any damage (including accidental claim or suit and malicious damage) done to any part costs of clean up, restoration, remediation or removal), fines, penalties and interest, whether or not involving a third party claim arising out of the premises including use of the Property by Licensee, and any of its curtilage employees, agents, contractors, licensees, invitees and guests, in connection with the Permitted Uses. (b) Licensor shall fully indemnify and hold harmless Licensee, and its respective directors, officers, subsidiaries employees, affiliates, agents, joint venture partners, successors and assigns (collectively, the cost of repair “Licensee Parties”), from any and all suits, judgments, litigation, claims, damages, injuries, deaths, liabilities, losses and expenses (including but not limited to reasonable attorney’s fees, incurred in defending any claim by a third person, amounts paid in settlement of any damage (including accidental and malicious damage) done to our WiFi service (if any) (c) all claims, losses, damages claim or suit and costs made against of clean up, restoration, remediation or incurred by us, our employees, volunteers, agents or invitees in respect of damage or loss of property or injury to persons arising as a result of your use of the premises (including the storage of equipment) and your use of our WiFi service (if anyremoval), and (d) all claimsfines, lossespenalties and interest, damages and costs made against whether or incurred by us as a result of any nuisance caused to not involving a third party as a result of your use of the premises and/or the use of our WiFi service (if any), and subject to sub-clause (ii), you must indemnify us against such liabilities. We are insured against any claims arising out of our own negligencearising out of the failure of Licensor or any Owner Parties to perform any covenant, term or condition of this Agreement. The parties agree, however, that the foregoing indemnification and hold harmless shall not apply to, and Licensor shall not be obligated to defend or indemnify the Licensee Parties for, any claims to the extent any of the foregoing arise out of or are caused solely by the gross negligence or willful misconduct of Licensee or any of the Licensee Parties or Licensee’s invitees to the Premises.

The limits of said insurance shall not, however, limit the monies we receive under the liability of Lessee hereunder. Lessee shall name Lessor as an additional insured thereunder and shall present Lessor with proof of insurance and such policies shall further provide that they are not cancelable or materially alterable except upon no less than 30 day, advance written notice to Lessor. Lessor shall provide its own liability insurance independent of aforementioned Lessee liability policy. C. If you fail to produce such policy Lessor shall not be liable for any damages arising from any act or neglect of any other tenant, if any, of the lease premises. D. Each of Lessor and evidence of cover, we will cancel this Agreement and re-hire Lessee agrees that its respective insurance carriers shall not have a subrogated claim against the premises to another hirer. (i) You are liable for:‌ (a) The Recipient shall effect and maintain throughout the cost Term adequate insurance, with a reputable insurer, to provide cover for the Project undertaken by the Recipient, including Public Liability (in an amount of repair of any damage $20 million or more) and Workers’ Compensation insurances (including accidental at least $50 million cover for common law liability) and malicious damage) done property insurance covering loss of or damage to any part equipment that the Recipient provides for use on the Project, for its full replacement value. If the Department requests the Recipient to increase its insurance cover, the Recipient must promptly do so and provide the Department with evidence of the premises including its curtilage or its contentssame. (e) The public liability of the hall does not cover events and activities that include bouncy castles or other inflatable devices and any type of inflatable equipment are strictly prohibited. Insurance and Indemnity. TENANT'S INSURANCE 8.01 The Tenant shall, at its expense, obtain and maintain in force throughout the Term and any period when it is in possession of the Leased Premises, in the name of the Tenant with the Landlord and the Landlord's mortgagee (iif any) You are liable foras additional insureds, the following insurance: (a) the cost of repair of any Public Liability insurance, written on a comprehensive basis, with coverage against third-party claims for bodily injury, including death, and property damage (including accidental but not limited to personal injury liability, blanket contractual liability, products liability, employers liability, owners & contractors protective liability, and malicious damagetenant's legal liability for the full replacement cost of the Leased Premises) done with such coverage to include the activities and operations conducted by the Tenant, or for which the Tenant is legally liable, and any other person performing work on behalf of the Tenant and those for whom the Tenant is in law responsible, in amounts required by the Landlord and any mortgagee of the Building or any part of the premises including its curtilage or its contentsthereof from time to time but in no event less than Five Million Dollars ($5,000,000.00) per occurrence; and (b) All risks insurance covering all property owned by the cost Tenant, or installed by or on behalf of repair the Tenant, located within the Leased Premises and all other property for which the Tenant is responsible pursuant to this Lease and/or which has been installed by or on behalf of any damage the Tenant (including accidental without limitation chattels, equipment, machinery, furniture, inventory, fixtures, property of others in your care, custody or control, and malicious damageall Leasehold Improvements) done in an amount equal to our WiFi service the full (if any)100%) replacement value thereof; and (c) If the Tenant modifies the Leased Premises to install its own boilers, pressure vessels or air-conditioning equipment, the Tenant shall obtain comprehensive boiler and machinery insurance on a blanket repair and replacement basis with limits for each accident in an amount of at least the replacement cost of all claimsleasehold improvements and of all boilers, lossespressure vessels, damages air conditioning equipment and costs made against miscellaneous electrical apparatus or incurred mechanical equipment owned or operated by us, our employees, volunteers, agents the Tenant or invitees in respect of damage or loss of property or injury to persons arising as a result of your use by others (except for the Landlord) on behalf of the premises (including Tenant in the storage of equipment) and your use of our WiFi service (if any)Leased Premises, or relating to or serving the Leased Premises; and (d) Business interruption insurance in an amount that will reimburse the Tenant for direct or indirect loss of earnings attributable to all claimsperils insured against under Section 8.01 (b) and (c) herein, lossesand other perils commonly insured against by prudent tenants, damages and costs made against or incurred by us attributable to prevention of access to the Leased Premises as a result of any nuisance caused to a third party as a result of your use of the premises and/or those perils; and (i) Environmental Impairment Liability insurance ("EIL" insurance) for claims arising from the use of our WiFi service or operations at the Leased Premises, including coverage for sudden and accidental and gradual pollution conditions, and including incidents arising out of the storage, disposal, release or escape of any Hazardous Substances into or upon the Leased Premises, land, sediments, soils, groundwater, atmosphere, or any watercourse or body of water, and for all third-party claims for bodily injury or property damage as well as the cost of clean-up and/or remediation of any contamination or environmental hazard in, upon or around the Leased Premises, Lands and adjoining lands, which insurance shall be issued for a limit of no less than Five Million Dollars (if any$5,000,000.00) per claim; and (ii) In the case of the Tenant in use and occupation of the Leased Premises being The Children's Place (Canada), LP, the Landlord acknowledges that as of the Commencement Date the Tenant is not required to obtain "gradual pollution" insurance unless the Landlord, in its discretion, determines at any time thereafter that the Leased Premises contains Hazardous Substances for which the Tenant is responsible or the use permitted under this Lease is modified or changed, with or without the Landlord's consent, at which time the Tenant shall comply with the original requirement for "EIL" insurance set out in Section 8.01 (e) (i) above covering both sudden and subject accidental and gradual pollution exposures. In the event the Tenant is not required to sub-clause obtain "gradual pollution" insurance pursuant to this Section 8.01 (e) (ii), you must indemnify us against such liabilities. the Tenant shall obtain Limited Pollution liability insurance covering claims for bodily injury or property damage resulting from a sudden and accidental discharge, emission, dispersal, seepage, leakage, migration, release or escape of Pollutants in or upon land, the atmosphere, drainage or sewage system, watercourse or any body of water, upon or around the Leased Premises, lands and adjoining lands, and/or caused by the heat, smoke or fumes from a fire which becomes uncontrollable or breaks out from where it was intended to be, as well as the cost of clean-up and/or remediation of any contamination or environmental hazard arising from the use of or operations at the Leased Premises, with a limit of no less than Five Million Dollars (ii$5,000,000.00) We will take out adequate per claim. Insurance and Indemnity. 8.1 From and after the Commencement Date the City shall take out and maintain with respect to the Subleased Premises and the City's use and occupation thereof and furnish to the Sublandlord certificates of a policy or policies of an insurance company or companies of comprehensive general liability insurance for bodily injury or death or property damage resulting from each occurrence in the amount of not less than Two Million (i$2,000,000.00) You are liable forDollars. 8.2 The Sublandlord shall take out and maintain or cause to be taken out and maintained with respect to the Subleased Premises and furnish to the City certificates satisfactory to the City of a policy or policies of an insurance company or companies of: (a) the cost of repair of any damage all risks insurance (including accidental flood and malicious damageearthquake) done property insurance in an amount equal to any part one hundred (100%) percent of the premises including its curtilage full replacement cost, insuring: (i) the Development and the Site; and (ii) all property owned by the Sublandlord or its for which the Sublandlord is legally liable or installed by or on behalf of Sublandlord, or located on the Site including, without limitation, pressure vessels, mechanical and electrical equipment, fixtures, contents, the Development and any other buildings and structures erected on the Site, with coverage against all risks of physical damage; (b) if any boiler or pressure vessel is operated in the Subleased Premises, boiler and pressure vessels insurance in such amount as may be reasonable from time to time, based on the value of the Development on a replacement cost of repair of any damage (including accidental and malicious damage) done to our WiFi service (if any)basis, and (c) comprehensive general liability insurance including Sublandlords' and contractors' protective, products, completed operations, intentional bodily injury for the protection of persons or property, personal injury including contractual liability, incidental medical malpractice, employer's liability, broad blanket contractual liability, occurrence property damage and provisions for cross liability and severability of interests with limits of not less than Ten Million Dollars ($10,000,000.00) per occurrence, and naming the City as an Additional Insured; 8.3 All insurance policies required herein shall provide for waiver of subrogation, cross-liability and severability of interest clauses, against the Sublandlord and the City respectively, and each party may from time to time require the other to supply evidence in respect thereto. 8.4 Each policy shall contain an endorsement requiring the insurers to notify the City in writing, by registered mail, at least Thirty (30) days prior to any material change that restricts or reduces the insurance required under this Article, or cancellation thereof. 8.5 At the time of effecting every policy of insurance maintained under this Section 8 each of the Sublandlord and the City, as the case may be, shall obtain from its respective mortgagee whose interest is shown in such policy of insurance the written acknowledgment of such mortgagee to the effect that notwithstanding the provisions of any legislation or statute the proceeds of such policy shall be applied to repair the injury with respect to which such insurance proceeds are payable. 8.6 The Sublandlord hereby releases the City, its respective employees, agents and those for whom it is responsible at law from all liability, loss, costs, charges, damages, claims, lossesdemands or expenses for any death, damages and costs made against injury, damage to property or incurred by usother claim which Sublandlord, our its employees, volunteersagents, agents occupants and its invitees now has or invitees might in respect of the future have arising from death, injury, property damage or loss any other claim of property any kind or injury nature whatsoever in relation to persons arising as a result of your use the Subleased Premises or the Development unless caused by the negligence or intentional conduct of the premises (including City, its members, employees or agents; and Sublandlord agrees to indemnify and save harmless the storage of equipment) City, its successors and your use of our WiFi service (if any)assigns, and (d) and its members, employees and agents from all loss, costs, damages, charges, claims, losses, damages and costs made against demands or incurred by us as a result expenses of any nuisance caused kind whatsoever by anyone with respect to a third party as a result any act, omission, negligence or liability or occurrence of your use of any kind or nature whatsoever in and about the premises and/or Site, including those under or in connection with the use of our WiFi service (if any)Construction Lien Act and Workplace Safety and Insurance Act, and subject to sub-clause (ii), you must indemnify us against such liabilities1997. (i) You are liable for: (a) the cost of repair of any damage (including costs arising from accidental and malicious damage) done loss or damage and for loss or damage arising out of your negligence to any part of the premises including its curtilage or its contents (b) the cost of repair of any damage (including costs arising from accidental and malicious damage) loss or damage and for loss or damage arising out of your negligence done to our WiFi service (if any) (c) all claims, losses, damages and costs made against or incurred by us, our employees, volunteers, agents or invitees in respect of damage or loss of property or injury to persons arising as a result of your use of the premises (including the storage of equipment) and your use of our WiFi service (if any), and (d) all claims, losses, damages and costs made against or incurred by us as a result of any nuisance caused to a third party as a result of your use of the premises and/or the use of our WiFi service (if any), and subject to sub-clause (ii), you must indemnify us against such liabilities. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. We are insured against any claims arising out of our own negligence.

Insurance and Indemnity. (a) Tenant hereby agrees to indemnify and hold Landlord harmless from any and all liabilities, damages, claims, penalties, fines, losses, or expenses, including any court costs and attorneys' fees, incurred by or asserted against Landlord that arise out of or relate in any manner whatsoever to: (i) You are liable for: any personal injury or death or damage to property resulting from an event occurring in or upon the Leased Premises during the Term, other than the act or omission of Landlord, its agents, employees or contractors; (aii) Tenant's use or occupancy of the Leased Premises during the Term; (iii) any act or omission of Tenant or any of Tenant's subtenants or any of the agents, contractors, employees or invitees of Tenant or any of Tenant's subtenants during the Term; or (iv) the cost failure of repair Tenant to perform or observe any of any damage (including accidental and malicious damage) done to any part of the premises including its curtilage Tenant's obligations or its contentscovenants under this Lease. (b) Tenant shall procure and maintain during the Term, at Tenant's own expense, (i) commercial general liability insurance with limits of not less than $1,000,000 for damages resulting from one occurrence and $2,000,000 for property damages occurring in, on or about the Leased Premises, and including coverage for Tenant's liability under Section 7(a) above, which limits may be increased by Landlord from time to time to conform to the minimum amounts of liability insurance being required by sophisticated landlords for leases of property being used for purposes the same as or similar to Tenant's use of the Leased Premises; (ii) special form property and casualty insurance, including theft, vandalism and malicious mischief, written at full replacement cost value and with full replacement cost endorsement, covering the Leased Premises, all of Tenant's personal property in the Leased Premises (including, without limitation, all inventory, trade fixtures, floor coverings, furniture and other personal property) and all alterations and improvements made to the Leased Premises by Tenant; (iii) during the period of any construction or renovation or alteration of the Leased Premises, special form builder's risk insurance in an amount equal to the contemplated cost of repair such construction, renovation or alteration; (iv) loss of any damage rents insurance covering rent under this Lease for a period of at least twelve (including accidental 12) months; and malicious damage(v) done to our WiFi service (if any)such other insurance as may be required by Landlord's mortgagee. (c) all claimsLandlord shall procure and maintain during the Term (i) special form property and casualty insurance, lossesincluding theft, damages vandalism and costs made against or incurred by usmalicious mischief, our employeeswritten at full replacement cost value and with full replacement cost endorsement, volunteers, agents or invitees in respect of damage or loss of property or injury to persons arising as a result of your use of covering the premises (including the storage of equipment) and your use of our WiFi service (if any)Building, and (d) all claims, losses, damages and costs made against or incurred by us as a result of any nuisance caused to a third party as a result of your use of the premises and/or the use of our WiFi service (if any), and subject to sub-clause (ii), you must indemnify us against such liabilities. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(c) and (d) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. We are insured against any claims arising out of our own negligence.

Insurance and Indemnity. (iib) We will NYCE shall take out adequate insurance to insure the liabilities described in sub-sub- clauses (i)(a) and (ba)(i) above and may, in our its discretion and in the case of non-non commercial hirers, insure the liabilities described in sub-clauses (i)(ca) (ii) and (diii) above. We will NYCE shall claim on our its insurance for any liability you incur of the Hirer hereunder but you must the Hirer shall indemnify us against: and keep indemnified each member of NYCE management committee and NYCE employees, volunteers, agents and invitees against (a) any insurance excess incurred and and (b) the difference between the amount of the liability and the monies we receive received under the insurance policy. (iiic) Where we do NYCE does not insure the liabilities described in sub-clauses (i)(ca)(ii) and (diii) above, you must the Hirer shall take out adequate insurance to insure such liability and on demand must shall produce the policy and current receipt or other evidence of cover to our Hall Secretarythe NYCE secretary. If you fail Failure to produce such policy and evidence of cover, we cover will cancel this Agreement render the hiring void and re-hire enable the NYCE booking secretary to rehire the premises to another hirer. We are insured against any claims arising out of our own negligence.

Insurance and Indemnity. 13.01. During the Term Tenant shall maintain at its own cost and expense the following insurance: (a) comprehensive or commercial general liability insurance in respect of the Demised Premises and the conduct and operation of business therein, having limits of not less than $5,000,000.00 combined single limit per occurrence for bodily injury or death to any one person and for bodily injury or death to any number of persons in any one occurrence, and for property damage, including water damage and sprinkler leakage legal liability (coverage to include but not be limited to (i) You are liable for: premises operation, completed operations, broad form contractual liability and product liability, (aii) comprehensive automobile, truck and vehicle liability insurance covering all owned, hired and non-owned vehicles used by the cost contractor(s) in connection with their work and any loading of repair of such vehicles, with limits as stated above and (iii) workmen's compensation, employers liability and occupational disease insurance as required by statutes, but in any damage (including accidental event not less than $500,000.00 for Coverage B covering all damages and malicious damage) done to any part of the premises including its curtilage injuries arising from each accident or its contents occupational disease), (b) All-Risk insurance (including flood and earthquake) covering the cost of repair Demised Premises against loss or damage in an amount equal to the full replacement value thereof as same might increase from time to time or such higher amount as either may be required by the holder of any damage (fee mortgage covering the Demises Premises or is necessary to prevent Landlord and/or Tenant from becoming a co-insurer, including accidental boiler and malicious damage) done to our WiFi service (machinery insurance, if any) applicable (c) rent insurance with broad form extended coverage endorsement in an amount equal to the Rent and all claimsother charges payable by Tenant pursuant to this Lease for a period of one (1) year, losseswith coverage to apply as respects Landlord and any Mortgagee regardless of any rent abatement provisions elsewhere in this Lease, damages and costs made against or incurred by us, our employees, volunteers, agents or invitees in respect of damage or loss of property or injury to persons arising as a result of your use of the premises (including the storage of equipment) and your use of our WiFi service (if any), and (d) all claims, losses, damages any other insurance required for compliance with the Insurance Requirements. Landlord may at any time and costs made against from time to time require that the limits for the comprehensive or incurred by us as a result of any nuisance caused to a third party as a result of your use of the premises and/or the use of our WiFi service (if any), and subject to sub-clause (ii), you must indemnify us against such liabilities. Insurance carried pursuant to Section 13.01 (b) shall provide that the loss, if any, shall be adjusted with and payable to the party who will perform the work of restoration pursuant to Article 22 and such mortgagee as their interests may appear. Tenant shall deliver to Landlord and any additional named insured(s) certificates for such fully paid-for policies upon execution hereof. Upon request of Landlord, Tenant shall furnish Landlord with copies of all such insurance policies. Tenant shall procure and pay for renewals of such insurance from time to time before the expiration thereof, and Tenant shall deliver to Landlord and any additional insured(s) certificates therefor at least thirty (30) days before the expiration of any existing policy. All such policies shall be issued by companies of recognized responsibility, having a Bests Key Rating Guide of not less than A, Class VII, licensed to do business in our discretion New Jersey, and all such policies shall contain a provision whereby the same cannot be canceled unless Landlord and any additional insured(s) are given at least thirty (30) days' (ten (10) days in the case of non-commercial hirerspayment of premium) prior written notice of such cancellation. The certificates of insurance to be delivered to Landlord by Tenant shall be on an XXXXX 27 form or its equivalent and shall name Landlord as an additional insured and, insure at Landlord's request, shall also name any Superior Lessors or Superior Mortgagees as additional insureds, and the liabilities described following phrase must be typed on the certificate of insurance: "Xxxxx Mountain Industries, Inc., and its respective subsidiaries, affiliates, associates, joint ventures, and partnerships, are hereby named as additional insureds as their interests may appear (and if Landlord has so requested, Tenant shall include any Superior Lessors and Superior Mortgagees as additional insured(s). It is intended for this insurance to be primary and non-contributing." Tenant shall give Landlord at least thirty (30) days' prior written notice that any such policy is being canceled or replaced. Tenant's obligations to carry the insurance provided for herein may be brought within the coverage of a so-called blanket policy of insurance carried and maintained by Tenant; provided, however, that (i) certificates of insurance (on XXXXX 27 form or equivalent) are delivered to Landlord and that Landlord shall be named as an additional insured thereunder, as its interest may appear as more particularly required hereinabove, (ii) the coverage afforded Landlord shall not be reduced or diminished by reason of the use of such blanket policy of insurance, (iii) the requirements set forth herein are otherwise satisfied; (iv) such blanket policy shall reference the Demised Premises and guarantee a minimum limit available for the Demised Premises equal to the insurance amounts required in sub-clauses (i)(c) this Lease; and (dv) aboveTenant agrees to make available to Landlord, at all reasonable times, the original policies of insurance. 13.02. We will claim on our Tenant shall not do, permit or suffer to be done any act, matter, thing or failure to act in respect of the Demised Premises or use or occupy the Demised Premises or conduct or operate Tenant's business in any manner objectionable to any insurance company or companies whereby the fire insurance or any other insurance then in effect in respect to the Land and Building or any part thereof shall become void or suspended or whereby any premiums in respect of insurance maintained by Landlord shall be higher than those which would normally have been in effect for any liability you incur but you must indemnify us against: the occupancy contemplated under the Permitted Uses. In case of a breach of the provisions of this Section 13.02, in addition to all other rights and remedies of Landlord hereunder, Tenant shall (a) indemnify Landlord and the Superior Lessors and hold Landlord and the Superior Lessors harmless from and against any loss which would have been covered by insurance excess incurred and which shall have become void or suspended because of such breach by Tenant and (b) pay to Landlord any and all increases of premiums on any insurance, including, without limitation, rent insurance, resulting from any such breach. 13.03. Tenant shall indemnify and hold harmless Landlord and all Superior Lessors and its and their respective partners, joint venturers, directors, officers, agents, servants and employees from and against any and all claims arising from or in connection with (a) the difference between the amount conduct or management of the liability and Demised Premises or of any business therein, or any work or thing whatsoever done, or any condition created (other than by Landlord) in the monies we receive under Demised Premises during the insurance policy. Term or during the period of time, if any, prior to the Commencement Date that Tenant may have been given access to the Demised Premises; (iiib) Where we do not insure any act, omission or negligence of Tenant or any of its subtenants or licensees or its or their partners, joint venturers, directors, officers, agents, employees or contractors; (c) any accident, injury or damage whatever (unless caused solely by Landlord's negligence) occurring in the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. (iib) We will The Community Centre shall take out adequate insurance to insure the liabilities described in sub-sub- clauses (i)(a) and (ba)(i) above and may, in our its discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(ca) (ii) and (diii) above. We will The Community Centre shall claim on our its insurance for any liability you incur of the Hirer hereunder but you must the Hirer shall indemnify us and keep indemnified each member of the Community Centre management committee and the Community Centre’s employees, volunteers, agents and invitees against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive received under the insurance policy. Insurance and Indemnity. (i) You are liable for: (a) The Lessor will insure and keep insured to the cost full reinstatement value thereof the Building and any other improvements on the Land against destruction or damage by fire, earthquake and such other risks as the Lessor may deem necessary or desirable and the Lessor may also insure against consequential loss, public liability and loss of repair rents and outgoings for such period of indemnity and on such terms as the Lessor shall choose and will pay the premiums and other costs payable in respect thereof provided that the premiums and other costs of any damage (including accidental and malicious damage) done to any such insurance cover, shall nevertheless form part of the premises including its curtilage or its contentsexpenses to be paid by the Lessee to the Lessor pursuant to this Lease. (b) The Lessee shall keep current at all times during the cost Term: (i) A policy of repair public risk insurance applicable to the Premises and the business carried on therein for an amount not less than the amount stated in clause 3 hereof (being the amount which may be paid out arising out of any damage one single accident or event) or such higher amount as the Lessor may from time to time require; (ii) An insurance policy in the joint names of the Lessor and the Lessee for the full insurable value on a reinstatement basis against all insurable risks all glass (including accidental plate glass but excluding any glass located in exterior windows) in the Premises; and (iii) An insurance policy in the name of the Lessee for the full insurable value on a reinstatement basis against all insurable risks covering all additions to the Premises carried out by the Lessee and malicious damage) done to our WiFi service (if any)all the Lessee's fixtures and fittings. Such insurance policies shall be effected with an insurance company approved by the Lessor and the Lessee shall as and when so requested by the Lessor provide the Lessor with copies of such policies and evidence of currency of such policies. (iii) Where we do not insure the liabilities described in sub-clauses (i)(c) and (d) above, you must take out adequate insurance to insure such liability and on demand must produce the policy and current receipt or other evidence of cover to our Hall Secretary. If you fail to produce such policy and evidence of cover, we will cancel this Agreement and re-hire the premises to another hirer. (ii) We will take out adequate insurance to insure the liabilities described in sub-clauses clause (i)(a) and (b) above and may, in our discretion and in the case of non-commercial hirers, insure the liabilities described in sub-clauses (i)(ci) (b) and (dc) above. We will claim on our insurance for any liability you incur but you must indemnify us against: (a) any insurance excess incurred and (b) the difference between the amount of the liability and the monies we receive under the insurance policy. The HIRER is responsible for their own items stored within the hall. Where the store cupboard is used, all items must be stored securely, especially where stored at height.

We are insured against any claims arising out of our own negligence.

In the case of bouncy castles, whoever is supervising the bouncy castle must also have suitable insurance in place. We are insured against any claims arising out of our own negligence.
