Insurance Coverage Section 4 Clause Samples

Insurance Coverage Section 4. 17 of the Company Disclosure Schedule identifies each insurance policy maintained by, at the expense of or for the benefit of each Acquired Company as of the date of this Agreement (other than any insurance policies relating to a Company Benefit Plan) and identifies any material claims outstanding thereunder as of the date of this Agreement. The Company has made available to nCino accurate and complete copies of such insurance policies, each of which is in full force and effect. All premiums payable under all such policies have been timely paid and each Acquired Company has otherwise complied in all material respects with the terms and conditions of all such policies. The Company has no Knowledge of any actual or threatened termination of, material premium increase with respect to, material alteration of coverage under, or refusal of any coverage or rejection of any claim under any such policies. There are no self-insurance arrangements affecting any Acquired Company.
