Common use of Insurance Offset Clause in Contracts

Insurance Offset. The obligation of a party to indemnify any Claim under this Article 11 shall be reduced by the full amount of any insurance actually collected by the Indemnified Party with respect to such Claim under any applicable policy or policies.

Insurance Offset. The obligation of a party to indemnify provide indemnification for any Claim under this Article 11 8 shall be reduced by the full amount of any insurance actually collected by realized and paid to the Indemnified Party (or any affiliate thereof) with respect to such Claim or the underlying facts under any applicable policy or policies. The Indemnified Party (or any affiliate) shall use its reasonable efforts to make insurance claims relating to any Claim for which it is seeking indemnification pursuant to this Article 8.
