Insurer Consent Clause Samples
Insurer Consent. Notwithstanding anything contained in the Policy, Insurer expressly (i) consents to and acknowledges the Assignment, and (ii) agrees to continue coverage on Assignee’s behalf under the Policy. If required by Insurer, Insurer shall promptly issue any endorsement(s) to the Policy to effectuate the intent and purpose of this Agreement. Insurer expressly waives any rights it may have under the Policy or at law or in equity to deny coverage based on the Assignment. To the extent any of the terms or conditions of this Agreement are contrary to or conflict with the terms and conditions of the Policy, the terms of this Agreement shall control and be binding upon the parties.
Insurer Consent. Confirmation by the Required Lenders to the Administrative Agent that the requisite insurers under the AON Insurance Policy have acknowledged and consented to this Agreement.
Insurer Consent. No derivatives deposit contemplated in Section 8.20 or Receivable sale contemplated by Section 8.05(a) shall be consummated unless, in each instance, the Servicer shall have received the prior written approval of the Insurer.
Insurer Consent. In no event shall the Issuer and the Trustee amend or waive any term or condition of the Notes or this Indenture which materially and adversely affect the obligations or rights of the Insurers under the Transaction Documents (as evidenced by an Opinion of Counsel delivered to the Trustee stating that such amendment or waiver does not materially and adversely affect the obligations or rights of the Insurers under the Transaction Documents) without the prior written consent of the Insurance Agent on their behalf, which consent shall not be unreasonably withheld.
