Common use of Integration and Amendment Clause in Contracts

Integration and Amendment. This Agreement and the exhibits attached to this Agreement fully express all understandings of the Parties concerning the subject matter of this Agreement. All prior negotiations and agreements between the Parties regarding the subject matter of this Agreement are merged into this Agreement. No change, alteration, amendment, or modification of the terms or conditions of this Agreement, and no verbal understanding of the Parties, their officers, agents, or employees shall be enforceable, unless made in the form of a written amendment to this Agreement signed by the authorized representative(s) of each Party, respectively. The Parties agree to enter into any and all amendments to this Agreement that are necessary to comply with any and all new or modified Federal, State, and local laws affecting this Agreement.
