Common use of Integration and Severability Clause in Contracts

Integration and Severability. This Agreement embodies the entire agreement and understanding between the Borrowers and the Banks, and supersedes all prior agreements and understandings, relating to the subject matter hereof. In case any one or more of the obligations of the Borrowers under this Agreement, the Notes or any Security Documents shall be invalid, illegal or unenforceable in any jurisdiction, the validity, legality and enforceability of the remaining obligations of the Borrowers shall not in any way be affected or impaired thereby, and such invalidity, illegality or unenforceability in one jurisdiction shall not affect the validity, legality or enforceability of the obligations of the Borrowers under this Agreement, the Notes or any Security Documents in any other jurisdiction.

This Agreement embodies and the other Loan Documents embody the entire agreement and understanding between the Borrowers Borrower, the Agent and the BanksLenders, and supersedes supersede all prior agreements and understandings, understandings relating to the subject matter hereof. In case any one or more of the obligations of the Borrowers Borrower under this Agreement, the Notes Agreement or any Security Documents other Loan Document shall be invalid, illegal or unenforceable in any jurisdiction, the validity, legality and enforceability of the remaining obligations of the Borrowers Borrower shall not in any way be affected or impaired thereby, and such invalidity, illegality or unenforceability in one jurisdiction shall not affect the validity, legality or enforceability of the obligations of the Borrowers Borrower under this Agreement, the Notes Agreement or any Security Documents other Loan Document in any other jurisdiction.

This Agreement amends and restates the Existing Credit Agreement and embodies the entire agreement and understanding between the Borrowers Company and the BanksAgent and the Lenders, and supersedes all prior agreements and understandings, relating to the subject matter hereof. In case any one or more of the obligations of the Borrowers Company under this Agreement, the Notes or any Security Documents Loan Document shall be invalid, illegal or unenforceable in any jurisdiction, the validity, legality and enforceability of the remaining obligations of the Borrowers Company shall not in any way be affected or impaired thereby, and such invalidity, illegality or unenforceability in one jurisdiction shall not affect the validity, legality or enforceability of the obligations of the Borrowers Company under this Agreement, the Notes or any Security Documents Loan Document in any other jurisdiction.

In the event that any of the terms and conditions of this Agreement conflicts with any of the terms and conditions of one or more of the Security Agreements, then the provisions of this Agreement shall govern to the extent of such conflict.
