Integration; Direct Conflict Clause Samples
The "Integration; Direct Conflict" clause establishes that the written agreement represents the complete and final understanding between the parties, superseding all prior discussions or agreements. In practice, this clause ensures that only the terms contained within the contract are enforceable, and if there is a direct conflict between provisions in the contract and any other documents or communications, the contract's terms will prevail. Its core function is to prevent misunderstandings or disputes over which terms apply, thereby ensuring clarity and certainty in the contractual relationship.
