Common use of Intellectual Property, Copyright and Patents Clause in Contracts

Intellectual Property, Copyright and Patents. 18.3.1 The Executive hereby acknowledges and agrees that the Company owns and shall own any and all Intellectual Property Rights created, made or discovered by the Executive or employee (whether solely or jointly with others) related to the company’s activity (Drug Development and Manufacturing) either: during the term of employment; and/or in connection therewith; and/or in connection with the Company, its business (actual and/ or contemplated), products, technology and/or know how (“Company IPR”). Intellectual Property Rights means all worldwide (a) patents, patent applications and patent rights; (b) rights associated with works of authorship, including Copyrights, Copyrights applications, Copyrights restrictions, mask work rights, mask work applications and mask work registrations; (c) rights relating to the protection of trade secrets and confidential information; (d) moral rights; (e) rights analogous to those set forth herein and any other proprietary rights relating to intangible property including ideas; and (f) divisions, continuations, renewals, reissues and extensions of the foregoing (as applicable) now existing or hereafter filed, issued, or acquired.
