Common use of Intellectual Property created under this Agreement Clause in Contracts

Intellectual Property created under this Agreement. (1) The ownership of any Intellectual Property created under this Agreement will vest, upon its creation, with the Recipient. (2) The Recipient grants to Healthway a perpetual, irrevocable, royalty-free and licence- fee free, worldwide, fully assignable, non-exclusive licence to use, copy, modify and exploit any such Intellectual Property created under this Agreement and indemnifies Healthway against all loss, liability or other liabilities resulting from the Recipient’s failure to comply with this clause.‌
