Common use of Intellectual Property Notice Clause in Contracts

Intellectual Property Notice. Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower in or to any copyright, patent or trademark not previously disclosed in writing to Bank, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and

Intellectual Property Notice. Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower in or to any copyright, patent or trademark not previously disclosed shown in writing to Bankthe IP Security Agreement, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and;

Intellectual Property Notice. Prompt written Written notice of via the Compliance Certificate (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of a Co-Borrower in or to any copyright, patent or trademark not previously disclosed shown in writing to Bankthe IP Security Agreements, and (iii) Borrower’s Co-Borrowers’ knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and;

Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower any Credit Party in or to any copyright, patent or trademark not previously disclosed shown in writing to Bankthe IP Agreement, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and;

Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of any Borrower in or to any copyright, patent or trademark not previously disclosed shown in writing to Bankthe IP Security Agreement, and (iii) any Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and;

Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of a Borrower in or to any copyright, patent or trademark not previously disclosed in writing to Bank, and (iii) Borrower’s Borrowers’ knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and

Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower in or to any copyright, patent or trademark not previously disclosed in writing to Bank, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual Property; and;

Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower any Obligor in or to any copyright, patent or trademark Intellectual Property not previously disclosed in writing to Bank, and and/or (iii) Borrowerthat Obligor’s knowledge of an event that could reasonably be expected to materially and adversely to affect the value of the Intellectual Property; and;

Intellectual Property Notice. Prompt written notice of (i) any material change in the composition of the Intellectual PropertyProperty of Borrower and its Material Subsidiaries, (ii) the registration of any copyright, including any subsequent ownership right of Borrower in or to any copyright, patent or trademark not previously disclosed in writing to Bank, and (iii) Borrowerany Credit Party’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of proceeds, revenue or income arising from or related to the Intellectual Property; and;

Intellectual Property Notice. Prompt written notice of (i) any material change in the composition of the Borrower’s Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower in or to any copyright, patent or trademark not previously disclosed shown in writing to Bankthe IP Security Agreement, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Borrower’s Intellectual Property; and

Intellectual Property Notice. Prompt written notice of (i) any material change in the composition of the Intellectual PropertyProperty of Borrower or any Guarantor, (ii) the registration of any copyright, including any subsequent ownership right of Borrower or any Guarantor in or to any copyright, patent or trademark not previously disclosed shown in writing to Bankthe IP Security Agreement, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of the Intellectual PropertyProperty of Borrower or any Guarantor; and

Intellectual Property Notice. Prompt written notice of (i) any material change in the composition of the Intellectual Property, (ii) the registration of any copyright, including any subsequent ownership right of Borrower in or to any copyright, patent or trademark not previously disclosed in writing to Bank, and (iii) Borrower’s knowledge of an event that could reasonably be expected to materially and adversely affect the value of proceeds, revenue or income arising from or related to the Intellectual Property; and;
