Inter-connection and chello Clause Samples
The 'Inter-connection and chello' clause establishes the terms under which different networks or services, such as telecommunications or internet providers, connect and interact with each other. In practice, this clause may outline technical requirements, responsibilities for maintaining the connection, and procedures for resolving issues that arise between interconnected systems, including those involving the 'chello' service (a broadband internet brand). Its core function is to ensure seamless interoperability and clear responsibilities between parties, thereby minimizing service disruptions and clarifying obligations in the event of technical or operational problems.
Inter-connection and chello. Each Obligor (other than UPC Distribution Holdco) will ensure that each member of the Borrower Group which is not a Relevant Eastern European Subsidiary:
(a) which offers residential telephony services in any country, maintains inter-connection arrangements with one or more major fixed line telephony operators in that country; and
(b) which offers internet and/or data services is provided with such services by chello broadband N.V. or by another provider on arm’s length commercial terms.
