Intercompany Accounts and Affiliate Transactions. (a) At or prior to the Closing, the Seller Parties shall cause to be settled, repaid or canceled all intercompany accounts that are unpaid as of the Closing Date between any Company Entity, on the one hand, and the Sellers or any of their Affiliates, on the other hand, in each case at no cost to the Company Entity. (b) At or prior to the Closing, the Seller Parties shall have caused to be terminated, at no cost to and without creating any Obligations for the Company Entity, all contracts between any Company Entity, on the one hand, and the Sellers or any of their Affiliates, on the other hand.
