INTERCOMPANY LOAN Upon the written request of the Agent, the Borrower shall deliver a certificate to the Agent confirming the amount outstanding under the Intercompany Loan Agreement, which shall at all times be at least equal to the aggregate of the Facility Outstandings and all unpaid interest, costs and expenses under this Agreement.
