Interconnection Milestone. On the Permit Milestone Date, unless this Agreement is terminated by Buyer in accordance with Section 3.5(c), Seller shall cause the amount of the Milestone Security to be increased to an amount (the “Interconnection Milestone Security Amount”) equal to the product of $3,000,000 multiplied by the SCPPA Facility Capacity Share. If Seller fails to achieve the Interconnection Milestone by the Interconnection Milestone Date, Buyer shall have the right by notice to Seller to immediately terminate this Agreement in accordance with Section 12.1 and draw from the Milestone Security an amount equal to the Interconnection Milestone Security Amount as liquidated damages for Seller’s failure to achieve the Interconnection Milestone Date, and in addition, shall have all other rights and remedies available to it for a Default under this Agreement.
