Common use of Intercorporate Indebtedness Clause in Contracts

Intercorporate Indebtedness. There is no intercorporate indebtedness existing between Parent (or any member of Parent’s affiliated group within the meaning of Section 1504) and Company (or any member of Company’s affiliated group within the meaning of Section 1504), or between Merger Subs and Company, that was issued, acquired, or will be settled at a discount. Parent will assume no liabilities of any Company stockholder in connection with the Transaction.
