Interest Certificate Legend. All certificates representing Interests shall bear the following legend (in addition to any other legend required by applicable law): “These interests have not been registered under the Securities Act of 1933, as amended, or any state securities laws and may not be sold, offered for sale, pledged, assigned, hypothecated or otherwise transferred in violation of any applicable securities law. These interests are subject to the terms and conditions, including restrictions on transfers, pledges or other dispositions, of a Limited Liability Company Agreement, dated as of October 20, 1999, each as amended from time to time, copies of which are on file with the Secretary of the Company.”
