Common use of Interest in Licensed Marks Clause in Contracts

Interest in Licensed Marks. MPC acknowledges that it has no interest in the Licensed Marks other than the limited license granted under this Agreement and that Gateway will remain the sole and exclusive owner of all right, title and interest in and to the Licensed Marks. MPC agrees that Licensee’s use of the Licensed Marks and any goodwill associated in the Licensed Marks resulting from Licensee’s use will inure solely to the benefit of Gateway and will not create any right, title or interest of Licensee in the Licensed Marks. If MPC uses, registers or applies to register any xxxx in violation of its obligations under this Agreement, MPC agrees, upon Licensor’s request, immediately to cease the use of that xxxx and to assign to Gateway all Licensee’s rights in that xxxx, including any application or registration for that xxxx.
