Interest means. (a) interest and amounts in the nature of interest accrued; (b) prepayment penalties or premiums incurred in repaying or prepaying any Financial Indebtedness; (c) discount fees and acceptance fees payable or deducted in respect of any Financial Indebtedness, including fees payable in respect of letters of credit and guarantees; (d) any net payment (or, if appropriate in the context, receipt) under any interest rate hedging agreement or instrument, taking into account any premiums payable; (e) any dividends on shares if those shares constitute Financial Indebtedness for purposes of this Agreement; and (f) any other payments and deductions of similar effect (including the finance cost element of finance leases), and includes commitment and non-utilisation fees (including those payable under the Finance Documents), but excludes facility agent's and front-end, management, arrangement and participation fees with respect to any Financial Indebtedness (including those payable under the Finance Documents);
