Interest of Predecessor Manager. No assignee or transferee of all or any part of the interest as a Manager of a Manager shall have the right to become a Manager and any such assignee or transferee shall have only such rights as are afforded to such Person as a matter of law; without limiting the generality of the foregoing no such assignee or transferee shall have any rights to vote or consent with respect to any transactions involving the Company; provided, however, that in the event of the withdrawal of a Manager under circumstances not constituting any violation of the terms or provisions of this Agreement, such Manager or its legal representatives, estate or distributees shall have the right to become a Member, with all the rights of a Member hereunder, in which case this Agreement shall be amended accordingly.
