Common use of Interests in Receivables and Other Collateral Clause in Contracts

Interests in Receivables and Other Collateral. The Notes issued by the Trust shall represent obligations of the Trust secured by the Collateral, which, with respect to each Series or Class, will consist of the right to receive, to the extent necessary to make the required payments with respect to such Series or Class at the times and in the amounts specified in the related Indenture Supplement, (i) the portion of Collections allocable to such Series or Class pursuant to this Agreement, the Indenture and the related Indenture Supplement, (ii) the funds and other property credited to the Collection Account and the Excess Funding Account (or any subaccounts thereof) allocable to such Series or Class pursuant to this Agreement, the Indenture and such Indenture Supplement, (iii) funds and other property credited to any related Series Account and (iv) funds available pursuant to any related Enhancement Agreement (such property collectively, with respect to all Series and all Classes, the "Noteholders' Interest"); it being understood that the Notes of any Series or Class shall not represent any interest in any Series Account or Enhancement Agreement for the benefit of any other Series or Class. The Seller's Certificates shall represent the ownership interest in the remainder of the Collateral and other property of the Trust not allocated pursuant to this Agreement, the Indenture or any Indenture Supplement to the Noteholders' Interest and shall include the right to receive Collections with respect to the Receivables and other amounts at the times and in the amounts specified in this Agreement, the Indenture or any Indenture Supplement to be released to the Trust (the "Seller's Interest"); provided, however, that the Seller's Certificates shall not represent any interest in the Collection Account, the Excess Funding Account, any Series Account or any Enhancement Agreement, except as specifically provided in this Agreement, the Indenture or any Indenture Supplement.
