Interim Cash Purchase Price. (a) At least five (5) days prior to the Closing Date, Seller shall deliver to Buyer (i) the Interim Balance Sheet and (ii) the Interim NWC Calculation. Based upon such exchange of information, the parties shall determine, calculate, and agree, in writing, upon the Interim Cash Purchase Price.
