Common use of Interim Operations of National City Clause in Contracts

Interim Operations of National City. During the period from the date of this Agreement to the Effective Time, without the prior written consent of MAF, National City shall not take any action that would (a) materially delay or adversely affect the ability of National City to obtain any approvals of Governmental Authorities required to permit consummation of the Merger or (b) materially adversely affect its ability to perform its obligations under this Agreement or to consummate the transaction contemplated hereby.
